ASSIGNMENT, DELEGATION AND SUBCONTRACTS. No assignment of any rights, including rights to moneys due or to become due hereunder, nor any delegation of duties, obligations or liabilities under the Purchase Agreement shall be binding upon Buyer until Buyer’s written consent thereto has been obtained. No Goods to be delivered under the Purchase Order shall be procured by Seller from a third party in completed or substantially completed form without Buyer’s prior written consent. For this purpose, assignment shall include any change in the control of Seller; provided that in the case of a voluntary change in control, if Seller provides Buyer not less than 90 days advance written notice of such change in control and Buyer has not objected to such change in control within that notice period, Buyer shall be deemed to have consented to such change in control.
