Assignment Effective Notice. Upon (a) receipt by Agent of five (5) counterparts of this Assignment Agreement (to each of which is attached a fully completed Attachment 1), each of which has been executed by Assignor Lender and each Assignee Lender (and, to the extent required by Subparagraph 8.05(c) of the Credit Agreement, by Borrowers and Agent) and (b) payment to Agent of the registration and processing fee specified in Subparagraph 8.05(e) of the Credit Agreement by Assignor Lender, Agent will transmit to Borrowers, Assignor Lender and each Assignee Lender an Assignment Effective Notice substantially in the form of Attachment 2 hereto, fully completed (an "Assignment Effective Notice").

Upon (a) receipt by Administrative Agent of five (5) counterparts of this Assignment Agreement (to each of which is attached a fully completed Attachment 1), each of which has been executed by Assignor Rent Purchaser and each Assignee Rent Purchaser (and, to the extent required by Section 7.4(b)(i) of the Rent Purchase Agreement, by Landlord, Tenant and Administrative Agent), (b) payment to Administrative Agent of the registration and processing fee specified in Section 7.4(b)(iii) of the Rent Participation Agreement, Administrative Agent will transmit to Landlord, Tenant, Assignor Rent Purchaser and each Assignee Rent Purchaser an Assignment Effective Notice substantially in the form of Attachment 2 hereto, fully completed (an "Assignment Effective Notice"), and (c) confirmation from the lessor under the Ground Leases that Assignee Rent Purchaser is a responsible bona fide institutional lender, as defined in Section 907 of the Ground Leases.
Assignment Effective Notice. The undersigned, as agent for the Lenders under the Credit Agreement, dated as of , 2013 among HIE RETAIL, LLC, a Hawaii limited liability company (“Borrower”), the financial institutions parties thereto (the “Lenders”) and Bank of Hawaii, as administrative and collateral agent for the Lenders (jointly in such capacities, “Agent”), acknowledges receipt of five executed counterparts of a completed Assignment Agreement, a copy of which is attached hereto. [Note: Attach copy of Assignment Agreement.] Terms defined in such Assignment Agreement are used herein therein defined.

Upon (a) receipt by the Administrative Agent of counterparts of this Assignment Agreement (to each of which is attached a fully completed Attachment 1), each of which has been executed by Assignor Lender and Assignee Lender (and, to the extent required by Section 8.05(c) of the Credit Agreement, by the Borrower and the Administrative Agent) and (b) payment to the Administrative Agent of the registration and processing fee specified in Section 8.05(e) of the Credit Agreement by Assignor Lender, the Administrative Agent will (i) transmit to the Borrower, Assignor Lender and Assignee Lender an Assignment Effective Notice substantially in the form of Attachment 2 hereto, fully completed (an “Assignment Effective Notice”) and (ii) transmit to the Borrower any documentation provided to the Administrative Agent by Assignee Lender pursuant to Section 7(b) below.
