Assignment Fees. In the event Lessee shall assign or sublet the Premises then Lessee shall pay an assignment processing fee equal to $200.00 for each such request.
Assignment Fees. There shall be no requirement for the payment of any fees to the Lessor in connection with any Leasehold Mortgage, Foreclosure or the immediate assignment after Foreclosure. The Lessor shall not require any credit review or impose any qualifying criteria on any such transfer.
Assignment Fees. 4.1. AGA Medical shall pay each Inventor a royalty of 3% of AGA Medical’s Net Sales of Products in the Territory.
4.2. No later than February 15 following the end of each Royalty Year hereunder, AGA Medical shall provide inventors with a written report itemizing the number of Products manufactured, the Net Sales price of the Products and a calculation of the royalties due to inventors for such Royalty Year. Simultaneously with making such report, XXX Medical shall pay to inventors the amount of royalties then due.
4.3. AGA Medical shall have total discretion whether to seek or maintain patent protection for the Know-How or under the Patent Rights and whether to develop or market the Products. If AGA Medical has not sold any Products within three (3) years from the effective date of this Agreement, inventors may make a written request to AGA Medical to assign the invention back to the inventor. If AGA Medical has not sold any Products within one (1) year from such request inventors may terminate this Agreement by written notice to AGA Medical signed by all of the inventors. If inventors shall rightfully terminate this Agreement under section 5.2, AGA Medical shall assign the Patent Rights to inventors upon the inventors’ payment to AGA Medical of any government fees or attorneys’ fees, for securing maintaining and enforcing the Patent.
Assignment Fees. Should Tenant request the consent of Landlord to an assignment of this Lease or of any of Tenant's rights thereunder and whether or not such consent is ultimately given by Landlord and/or any such assignment, subletting, occupancy or use is carried out, Tenant agrees to pay to Landlord's agent the sum of $500.00 for services plus expenses and to Landlord reasonable attorneys' fees incurred in connection with each such request. -------------------------------------------------------------------------------- 17 ARTICLE XII ----------- RIGHT OF ENTRY
Assignment Fees. If OPY Credit Corp. elects to waive collection of any Assignment Fee from its client, OPY Credit Corp. agrees to pay to the Lender such Assignment Fee on the last Business Day of each month in respect of all Assignment Fees waived during such month. If no Assignment Fee is due and payable under the terms of the underlying credit agreement in respect of any trade arranged by OPY Credit Corp., OPY Credit Corp. shall not be liable to make a payment on account of an Assignment Fee in respect of such trade. The Assignment Fees shall be non-refundable.
Assignment Fees. All fees and expenses required to obtain any and all consents required pursuant to Section 10.7 and any and all estoppels and consents to assignment required pursuant to Section 10.8.
Assignment Fees. XXXXXXXXXX shall receive a Lump Sum fee of 250,000 (two hundred and fifty Thousand Dollars) and additional royalty’s as outlined in this agreement. For the purchase of the patents listed under this agreement. payable by the company and hereby warrants to INFO-HOLD that he has the right to enter into this Agreement with INFO-HOLD and INFO-HOLD warrants that it has the right to enter into this Agreement with XXXXXXXXXX. This lump sum fee will accrue interest at the rate of 6% annually until balance is paid in full.
Assignment Fees. An assignment fee of $3,500 shall be charged to the assigning Lender with respect to each assignment, except with respect to an assignment to an Affiliate of the assigning Lender. Subject to acceptance and recording thereof by the Administrative Agent pursuant to Section 10.1(c), from and after the effective date specified in each Assignment and Assumption, the assignee thereunder shall be a party to this Agreement and, to the extent of the interest assigned by such Assignment and Assumption, have the rights and obligations of a Lender under this Agreement, and the assigning Lender thereunder shall, to the extent of the interest assigned by such Assignment and Assumption, be released from its obligations under this Agreement (and, in the case of an Assignment and Assumption covering all of the assigning Lender’s rights and obligations under this Agreement, such Lender shall cease to be a party hereto but shall continue to be entitled to the benefits of Sections 2.10, 2.12, 2.13, 2.15 and 12.2 with respect to facts and circumstances occurring prior to the effective date of such assignment). Upon request, the Borrowers (at their expense) shall execute and deliver Notes to the assignee Lender. Any assignment or transfer by a Lender of rights or obligations under this Agreement that does not comply with this subsection shall be treated for purposes of this Agreement as a sale by such Lender of a participation in such rights and obligations in accordance with Section 10.1(d). Notwithstanding anything to the contrary in this Section 10.1(b), each Lender will also have the right, without consent of the Borrowers or the Administrative Agent, to assign as security all or part of its rights under the Loan Documents to any Federal Reserve Bank.
Assignment Fees. The Administrative Agent shall (a) upon its receipt of an assignment agreement executed by an assigning Xxxxxx and an Assignee, together with payment to the Administrative Agent of a registration and processing fee of $3,500 (unless such fee is waived by the Administrative Agent), promptly accept such Assignment; and (b) record the information into the Register on the Assignment Effective Date determined.
Assignment Fees. The total assignment fee for the entire project is RMB 30,000,000 Yuan.
