Assignment for Security for the Certificates. The Servicer and the Back-up Servicer understand that the Transferor will convey to the Trustee all its right, title and interest to this Agreement. The Servicer and the Back-up Servicer consent to such conveyance and further agree that all representations, warranties, covenants and agreements of the Servicer and the Back-up Servicer made herein shall also be for the benefit of and inure to the Trustee and all Holders from time to time of the Certificates.
