Assignment; Governing Law. This Guarantee shall inure to the benefit of the Trust and its successors, assigns and pledgees. This Guarantee shall be governed by, and construed in accordance with, the laws of the State of New York without regard to conflict of law principles.

Neither this Agreement nor any rights of the Executive hereunder may be assigned by the Executive, nor may the Executive delegate to another his performance hereunder.

Assignment; Governing Law. Neither this Agreement nor any Service Plan is assignable or otherwise transferable by Customer. This Agreement and any underlying Service Plans shall be governed by the laws of the Commonwealth of Massachusetts, exclusive of its conflicts of laws rules, and all disputes shall be subject to the exclusive jurisdiction of the courts therein.
Assignment; Governing Law. Except as provided in Article I(a) hereto, this Agreement shall not be assignable by any of the parties hereto and shall be construed in accordance with the laws of the State of Illinois.
Assignment; Governing Law. Neither Trans Leasing nor the Lender shall have the right to assign its rights hereunder or any interest herein. This Limited Recourse Agreement shall be governed by, and construed in accordance with, the laws of the State of Illinois as applied to contracts made and performed entirely within the State of Illinois by residents of such State.

No party may assign this Agreement without the consent of the other party; provided however that it is expressly understood that the Company automatically assigns this Agreement to any successor entity of the Company and no consent of Waksal is required in connection thereto. This Agreement is binding upon, and shall inure to the benefit of, the parties and their respective heirs, executors, administrators, successors and permitted assigns. This Agreement shall be governed by and interpreted in accordance with the laws of the State of New York, without regard to principles of conflicts of laws.

This Agreement and the rights, interests and obligations hereunder may not be assigned by any party hereto without the prior written consent of the other parties hereto. This Agreement shall be governed by and construed in accordance with the laws of the State of New York without regard to its conflict of law rules.
