ASSIGNMENT/MODIFICATION/BENEFIT OF AGREEMENT. This Agreement may not be assigned or transferred in whole or in part by CARRIER absent the prior written consent of BROKER, and supersedes all other agreements and all tariffs, rates, classifications and schedules published, filed or otherwise maintained by CARRIER. This Agreement shall be binding upon and inure to the benefit of the parties hereto.

The Agreement shall be binding upon and inure to the benefit of the parties hereto and, to the extent applicable, Broker’s Customers as third-party beneficiaries.
ASSIGNMENT/MODIFICATION/BENEFIT OF AGREEMENT. No party may assign this AGREEMENT without the prior written consent of the other party. However, BROKER may assign freight to other qualified carriers for any shipments made on behalf of SHIPPER under this AGREEMENT.
ASSIGNMENT/MODIFICATION/BENEFIT OF AGREEMENT. Carrier may not assign, transfer, grant any security interest over, or deal in any other manner with the benefit of all or any part of this Contract, nor sub-contract or novate any or all its obligations under this Contract without prior written consent (such consent not to be unreasonably withheld or delayed) from LOGISTICS. At any time during the term of the Contract, LOGISTICS may assign, transfer, grant any security interest over or deal in any other manner with the benefit of all or any part of the Contract, or subcontract any or all of its obligations under the Contract without the prior written consent of the Carrier.

This agreement shall be binding upon and ensure to benefit of the parties hereto.
