Assignment of License. This License may be assigned in whole or in part with the written consent of the County, which may be reasonably withheld. Notwithstanding the forgoing, Licensee may assign this License in whole or in part to a parent, subsidiary or affiliated company without the County’s consent. The terms, conditions and provisions of this License and the covenants contained within this License shall bind and inure to the benefit of the respective successors-in-interest of the parties hereto.
Assignment of License. Except with the prior written consent of Licensor, which consent will not be withheld unreasonably, Licensee must neither transfer nor assign this License or any rights hereunder, nor sublet the property or any portion of the property thereof, nor grant any interest, privilege or license whatsoever in connection with this License. Any such action taken without the express written approval, assignment and assumption of License by assignee will constitute a violation of this License by Licensee and a trespass by any subtenant of Licensee or assignee. Notwithstanding the foregoing, Licensee will have the right to assign its contractual interest to any entity controlling, controlled or under common control with Licensee, to any entity that acquires substantially all of the assets of Licensee licensed by the FCC to operate a wireless communications business and to any entity that acquires substantially all of Licensee’s assets in the Major Trading Area in which the facility is located, provided that, in all such instances, such assignee assumes in full all of Licensee’s obligations under this License. Licensee must notify Licensor with a minimum written 30 days’ prior notice. Such notice will not amend or modify the terms and conditions of this License.
Assignment of License. Licensees shall not have the right to assign --------------------- the license granted by this Article X to any third party, by agreement, operation of law, or otherwise, without the prior written consent of NDC, which may be withheld by NDC in its sole discretion; provided that such license may be assigned by a party to any company or concern acquiring substantially the entire business of such party relating to the eCommerce Marks licensed hereunder, provided such assignee first agrees in writing to be bound by all terms and conditions of such license including the obligations of such party hereunder.
Assignment of License. After room assignment, students must sign a License Agreement or improper check-in charges may apply. This license is non-transferable and shall not be sold, lent, or sublet to another person or entity. The student agrees to pay all reasonable costs and expenses that shall be made or incurred by the College in enforcing this License Agreement. Completion and delivery of this Agreement by the student does not constitute acceptance by the College. This Agreement constitutes the complete and entire agreement between the parties and may not be modified except in writing signed by both parties.
Assignment of License. Any such action taken without the express written approval, assignment, and assumption of License by Licensor will constitute a violation of this License by Licensee and a trespass by any authorized subtenant of assignee.
Assignment of License. Licensee shall not assign its rights and/or obligations under this License without the prior written consent of Licensor, which consent shall not be unreasonably withheld.
Assignment of License. At the initial Closing, Sundog shall have delivered to Envision an Assignment of License in the form attached hereto as Exhibit "B".
Assignment of License. AT&T PCS shall execute and deliver to --------------------- the Company one or more instruments of assignment, substantially in the form of Exhibit 3.2(a), sufficient to assign to the Company (or any Designated Purchasers) the AT&T PCS Contributed License (such assignment being herein referred to as the "License Transfer"). ----------------
Assignment of License. The License granted herein is personal to you and may not be transferred, sublicensed or assigned without Alibi’s prior written consent; provided, however, that you may transfer the License to the beneficial licensee that you identified in the Order or, if you are a Small Business Subscriber to the client that has paid for you to create a project in which the Recording(s) are used; provided further, that no such transfer shall relieve you of any of your obligations or liability hereunder; and provided further that the beneficial licensee may not further transfer, sublicense, or assign the License or any rights hereunder to any other party.
Assignment of License. ARNA hereby conveys, assigns, transfers and delivers to TRIPBORN, its successors and assigns, all of ARNA’s rights and privileges under the License, and TRIPBORN hereby consents to and accepts such contribution, assignment, transfer and delivery of the License.
