Assignment Terms. The reallocation of the Commitments among the Lenders (including the New Lenders), including the assignment by the Departing Lenders of their rights and obligations under the Credit Agreement to the Lenders, shall be deemed to have been consummated pursuant to the terms of the Assignment and Assumption attached as Exhibit D to the Credit Agreement as if such Lenders and the Departing Lenders had executed an Assignment and Assumption with respect to such reallocation. The Administrative Agent hereby waives the processing and recordation fees set forth in Section 9.6(c) of the Credit Agreement with respect to the assignments and reallocations contemplated by this Section 4.3.
Assignment Terms. An employee who has been assigned to the Training Battalion Chief, Training Captain, Administrative Medical Services Officer, Training Lieutenant, Central Purchasing Officer, or Training Paramedic assignments shall have the right either (i) to a second two (2) year term or, (ii) if no other qualified applicants apply, to extend the term in one (1) year increments. An employee other than a Battalion Chief or an employee assigned as a Deputy Fire Marshal, who has been assigned to a position pursuant to this Section for two (2) rotations, as defined by the Department for each assignment, see Subsection G. below, shall not be eligible to apply for that same assignment for a third (3rd) consecutive rotation unless no other qualified employee applies. Battalion Chiefs shall be limited to two (2) consecutive rotations regardless of whether other qualified employees apply. The minimum term of assignment as a Deputy Fire Marshal or Hazardous Materials Team shall be five (5) years. There will be no limit to the duration of the Deputy Fire Marshal assignment or Hazardous Materials Team assignment; however, employees may be reassigned at any time on the basis of staffing needs and/or fiscal restraints. For Deputy Fire Marshals assigned to the Fire Prevention Division the following shall apply: when vacancies exist for Civil Service positions to which the employee is eligible to fill the employee shall be moved within three (3) months, provided that there is no more than one (1) transfer of the above identified Deputy Fire Marshals out of Fire Prevention per six (6) month period.
Assignment Terms. (a) hCentive agrees that, prior to the transfer and assignment of this Agreement to Customer, as used in Attachment 1 to this Exhibit A – the Commonwealth Terms and Conditions, the term “Contractor” shall mean “hCentive,” “Department,” “State” and “the Commonwealth” (except as used in the “Commonwealth Terms and Conditions”) shall mean “Licensee” (except in Section 3 of the Commonwealth Terms and Conditions, which shall not be effective prior to transfer and assignment), and “Contract” shall mean this Agreement.
Assignment Terms. For the purposes of determining the rotation applicable for each assignment listed in Subsection A, the following shall apply: ▪ Training Battalion Chief - two (2) years (January to December) ▪ Training Captain - two (2) years (January to December) ▪ Administrative Medical Services Officer – two (2) years (January to December) ▪ Training Lieutenant – two (2) years (January to December) ▪ Training Paramedic – two (2) years (January to December) ▪ Deputy Fire Marshal – minimum of five (5) years with no maximum ▪ Hazardous Materials Team – minimum of five (5) years with no maximum ▪ Urban Search and Rescue - five (5) years ▪ Central Purchasing Officer (Lieutenant) – three (3) years (January to December) The rotation of the Training Battalion Chief and the Training Captain will be staggered to avoid both assignments being rotated within the same year. For the purpose of determining the end of an appointment term, the appointment periods for the Training Battalion Chief, Training Captain, Administrative Medical Services Officer, Training Lieutenant, Training Paramedic, Deputy Fire Marshal and Central Purchasing Officer will be rounded to the nearest six (6) months. For example, an appointment of the Training Captain on June 30 will relate back to January of that year for the purpose of determining the end of the appointment term, and an appointment on July 1 will relate forward to January 1 of the following year for the same purpose.
Assignment Terms. The Agreement may not be assigned in whole or in part by the Shipper without GRTgaz's prior written agreement. GRTgaz may not oppose the said assignment without reasonable grounds. Subject to GRTgaz's agreement thereto in writing, the Shipper undertakes to assume responsibility for and guarantee compliance by the assignee with all the rights and obligations under the present Agreement. If applicable, the assignee must provide a Financial Guarantee pursuant to the provisions of Clause 6 of the Agreement without delay and at the latest thirty (30) days from the date of GRTgaz's written agreement.

Assignment Terms. Any and all Assignments of Existing Claims, Pending Claims or Future Claim Rights (collectively, “Claim Assignment”) to Purchaser pursuant to this Section 7.5 are intended to be in compliance with the terms specified in the Board Order entitled In the Matter of Petition of Lake Publishing Company, Order WQ 2000-06-UST (“the Order”). Consistent with the Order, Sellers will maintain liability for Corrective Action irrespective of Claim Assignment(s). Purchaser covenants prior to performing any remediation to reasonably consider and analyze the estimated cost and expenses of utilizing the proposed remediation method as compared to alternative methods in order to preserve the reimbursement funds available under the Fund. Further consistent with the Order and the Fund’s most current published guidelines for assignment, the terms of any such Claim Assignment are as set forth in Sections 7.5.1.3(a) and 7.5.1.3(b) wherein the term “Assignor” pertains to Sellers and “Assignee” pertains to Purchaser.
(a) Assignor agrees to assign the following rights to reimbursement:
a. The Letter of Commitment (LOC);
b. Costs that are incurred by Assignor before the effective date of the Claim Assignment, but that are not submitted to the Fund for reimbursement until after the effective date of the Claim Assignment. Assignee agrees to pay such costs to Assignor to the extent reimbursed;
c. Costs that are incurred by Assignor before the effective date of the Claim Assignment and that were submitted by the Assignor before the effective date of the Claim Assignment, but were not reimbursed by the Fund before the effective date of the Claim Assignment. Assignee agrees to pay such costs to Assignor to the extent reimbursed;
d. Cost incurred by Assignee after the effective date of the Claim Assignment;
e. For Sites where Assignor has not filed a claim with the Fund, the rights to submit a claim application to the Fund and to pursue reimbursement under the claim. Assignee agrees to demonstrate Assignor’s eligibility for the Fund and the priority class for which Assignor would qualify.
(b) Rights to the Assignee to Receive Reimbursement After the Effective Date of the Assignment.
a. Assignee acknowledges and agrees that the maximum amount allowed for reimbursement is established by the Bxxxx Xxxxx Underground Storage Tank Cleanup Trust Fund Act of 1989.

Assignment Terms. The Seller may arbitrarily and in its absolute discretion withhold consent to any assignment of this Contract. Concurrently with requesting the Seller’s consent to an assignment of this Contract, the Buyer will provide the Seller with all of the information and documents referred to in section 15.1 including without limitation an executed copy of the proposed assignment agreement, along with any other information, documents and authorizations reasonably requested by the Seller, including without limitation the name, address and telephone number of the lawyers and realtors representing each party to the proposed assignment (the “Assignment Details”). If the Seller agrees to provide consent to an assignment of this Contract, concurrently with receiving such consent from the Seller the Buyer will deliver to the Seller an assignment fee equal to three (3.0%) percent of the Purchase Price hereunder, plus GST (the “Assignment Fee”). The Buyer acknowledges and accepts that the Seller is relying upon the accuracy of the Assignment Details for government reporting purposes, and included with the submission will be the Buyer’s implicit warranty that all information contained in the Assignment Details is true and correct at time of submission of the Assignment Details, and will warrant same until completion. The Buyer further agrees as part of the consideration for the Sellers consent to said assignment, to indemnify and save harmless the Seller, their agents, employees, subsidiaries and assigns, from any fine, damage or penalty associated with any inaccuracies (known or unknown to the Buyer) in the Assignment Details. Following any assignment, the Buyer agrees that they will not be relieved of any obligations under this Contract and will remain liable to perform all obligations to complete this Contract. The Buyer agrees that this Contract creates contractual rights only between the Buyer and the Seller and does not create an interest in the Property, and the Buyer agrees that they shall not under any circumstances be entitled or become entitled to register any charge, encumbrance or notice against title to the Property in respect of or pertaining to this Contract, including without limitation, a certificate of pending litigation. Assignment Terms. 8.1 You acknowledge and agree that the terms of an Assignment indicated in the App (including pricing, location, timing and scope of work, together with any agreed amendments to such terms, for example, the scope of work or number of hours) are incorporated into the Agreement by reference.
8.2 You acknowledge and agree that the pricing policy for Assignments may change from time to time. It is your responsibility to remain informed about any current pricing policies. Any new pricing policy will immediately apply to Assignments. We may operate dynamic pricing at certain times, which means that the Assignment Fee may change while you are browsing. The Assignment Fee will not be increased once you have accepted and been assigned the Assignment.
8.3 A Direct Assignment is an Assignment in which:
(a) your contract for the Assignment is made with the Customer directly, not with us; and
(b) we provide disclosed agency services to you for free (unless stated to the contrary) and we provide certain booking and payment processing services and administrative services to the Customer.
8.4 You acknowledge and agree that:
(a) you are not obliged to accept any new Assignment or Updated Assignment;
(b) neither we or any Customer is obliged to offer you any new Assignments or any minimum number or length of Assignments during any period; and
(c) during any period between the completion of an Assignment and the start of another Assignment, no contract of services, or relationship of employment or agency work or similar will exist between you, us or any Customer.
8.5 If you receive a 1- or 2-star rating from a Customer that you consider is unjustified, you may let us know in writing, the reasons why you consider this to be the case and any supporting documentation, and we shall carry out a review of the rating and the information, with your co- operation, and we shall (on the conclusion of any such review), determine in our sole and absolute discretion whether to uphold, adjust or remove the relevant rating.
8.6 You acknowledge and agree that the following restrictions will apply.
(a) While you are registered to use our Platform, you will not use a Third Party App to secure Assignments that are available through our Platform.
(b) The restriction in (a) above does not prevent you, as an Engineer, from carrying out Assignments either through or for a third party recruitment business, service provider or client that does not utilise a Third Party App.
