Assignments by Xxxxx. Any Bank may at any time assign to one or more assignees (other than Parent, any of its Affiliates or a natural person) (each an “Assignee”) all or a portion of its rights and obligations under this Agreement (including all or a portion of its Commitment and the Loans at the time owing to it) and the Notes; provided that any such assignment shall be subject to the following conditions:

Any Bank may, subject to Clause 21.5 (Conditions to Assignments and Transfers), assign any of its rights and benefits under this Agreement to another bank or other financial institution, provided that until the assignee has confirmed to the Facility Agent and the other Banks that it shall be under the same obligations towards each of them as it would have been under if it had been a party to this Agreement as a Bank, the Facility Agent and the other Banks shall not be obliged to recognise the EXHIBIT 10.1 assignee as having the rights against each of them which it would have had if it had been such a party to this Agreement.
