Auditor Consent. The Contributor Parties shall have delivered or caused to be delivered to Acquirer the consent of Ernst & Young LLP for the inclusion of its reports on the Propane Group Entities in any documents to be filed by Acquirer with the SEC in connection with the transactions contemplated by this Agreement or the other Transaction Agreements.
Auditor Consent. Auditor Consent. Exmar will request that the Auditors consent to the ability of TGP’s auditor to rely on their audit work of the Company.

Parent shall have received a signed consent from CSC’s independent auditors permitting Parent to include the Financial Statements and its opinion with respect to such statements in Parent’s Current Report on Form 8-K with respect to the Transactions, which shall be filed by Parent within four (4) days after the Closing, and Parent shall have received evidence reasonably satisfactory to it that CSC has requested that its independent auditors perform such diligence and other procedures as necessary to enable them to provide their consent permitting Parent to include the Financial Statements and their opinion with respect to such statements in Parent’s filings related to subsequent securities offerings.
