Authorisation and Consents all action, conditions and things required to be taken, fulfilled and done (including the obtaining of any necessary consents) in order (a) to enable the Vendor to lawfully enter into and perform and comply with its obligations under this Agreement, and (b) to ensure that those obligations are legal, valid, binding and enforceable, have been taken, fulfilled and done;
Authorisation and Consents. Any authorisation, licence, consent, permission or approval required in connection with the entering into, validity, enforcement, completion or performance of any of the Finance Documents or any transactions contemplated thereby is revoked, terminated or modified or otherwise cease to be in full force and effect.

(i) is not taken, fulfilled or done; or
(ii) ceases to be in full force and effect; or

3.3.1 to enable it lawfully to enter into, exercise its rights and perform and comply with its obligations under this Deed and to make payments under this Deed in Euro (and, as the case may be, in Roubles to the K-type Account described in Clause 2.13(b)) (other than, with respect to a payment in Euro, a permission of the Central Bank of the Russian Federation); and
3.3.2 to ensure that those obligations are valid, legally binding and enforceable have been taken, fulfilled and done. Upon the occurrence of an Event of Default (as defined in the Indent 17 Deferred Payment Agreement), at the request of Alcatel the Guarantor shall obtain a license, consent or other permission from the Central Bank of the Russian Federation to make payments in Euros under this Deed.
Authorisation and Consents. Any authorisation, approval, action, condition, consent, order, licence or thing at any time required to be taken, fulfilled or done for any of the purposes stated in the Letter of Offer (relating to representations on authorisations and consents).
(i) is not taken, fulfilled or done; or
(ii) ceases to be in full force and effect without modification; or
Authorisation and Consents any action, condition or thing (including the obtaining or effecting of any necessary consent, approval, authorisation, exemption, filing, licence, order, recording or registration) at any time required to be taken, fulfilled or done in order (i) to enable the Issuer lawfully to enter into, exercise its rights and perform and comply with its obligations under the Notes, (ii) to ensure that those obligations are legal, valid, binding and enforceable and (iii) to make the Notes and the Coupons admissible in evidence in the courts of England and of the Kingdom of Spain is not taken, fulfilled or done; or
Authorisation and Consents no consent of any other Person, and no consent, licence, permit, approval or authorisation of, exemption by, or registration, filing or declaration with, any governmental authority is required to be obtained or made in connection with the execution, delivery, performance, validity or enforceability of this Assignment, other than those which have been obtained or made and remain in full force and effect, the stamping of this Assignment and any filing in relation thereto in the Accounting and Corporate Regulatory Authority and those that the failure of which to obtain, will not have a material adverse effect on the ability of the Assignor to perform its obligations under this Assignment;
