Authority and Approval of Agreement. (a) The execution and delivery of this Agreement by the Company and the Shareholders and the performance of all the Company's and the Shareholders' obligations hereunder have been duly authorized and approved by all requisite corporate action on the part of the Company and the Shareholders pursuant to applicable law. The Company and the Shareholders have the power and authority to execute and deliver this Agreement and to perform all their obligations hereunder.
