Authority; Binding. Effect Licensor has taken all action necessary or required, either by law or by its organizational documents or otherwise, to authorize the execution and the delivery of this Agreement and the performance of the transaction contemplated hereby. The execution, delivery and performance of this Agreement constitutes the valid and binding agreement of Licensor enforceable in accordance with its terms.
Authority; Binding. Landlord and Tenant each warrant to the other that the person executing this Amendment on its behalf has the authority to do so and that such execution has fully obligated and bound such party to all terms and provisions of this Amendment. This Amendment shall be binding upon, and shall inure to the benefit of, the parties hereto and their respective successors and assigns
Authority; Binding. Effect The execution, delivery and performance of this Agreement constitutes the valid and binding agreement of Licensee enforceable in accordance with its terms.
Authority; Binding. Holder hereby represents and warrants that Holder has full power and authority to enter into the Agreement and that the Agreement constitutes the legal, valid and binding obligation of Holder, enforceable in accordance with its terms.
Authority; Binding. Nature of Agreement; Inapplicability of Anti-takeover Statutes.
Authority; Binding. The Vendors agree that for the purposes of implementing this Agreement (including, without limitation, the receiving of any Notice, the execution and delivery of any documents arising from and in connection with this Agreement and the giving of any consents and/or waivers), Amaru shall be irrevocable authorised to act on behalf of any of the Vendors and such Vendors shall be bound accordingly.
Authority; Binding. The Buyer has full power and authority to execute and deliver this Agreement and the other Deliverables to which the Buyer is a party, to perform his obligations hereunder and thereunder, and to consummate the transactions contemplated hereby and thereby. This Agreement and the Deliverables to which Buyer is a party have been duly executed by Buyer and delivered to Seller, and constitute the legal, valid and binding agreement of Buyer, enforceable against Buyer in accordance with its terms.
Authority; Binding. Buyer has full power and authority to enter into and perform its obligations under this Agreement and the Transaction Documents to which it is a party and to consummate the Transactions. The execution, delivery and performance by Buyer of this Agreement and the Transaction Documents to which it is a party and the consummation by Buyer of the Transactions have been duly authorized by all requisite action on the part of Buyer and no other proceedings on the part of Buyer are necessary to authorize the execution, delivery and performance of this Agreement or to consummate the Transactions. This Agreement has been duly executed and delivered by Buyer, and, assuming due authorization, execution and delivery by the other parties, this Agreement constitutes a legal, valid and binding obligation of Buyer enforceable against Buyer in accordance with its terms. When each Transaction Document has been duly executed and delivered by Buyer (assuming due authorization, execution and delivery by the other parties), such Transaction Document will constitute a legal, valid and binding obligation of Buyer enforceable against it in accordance with its terms.
Authority; Binding. Seller has the limited partnership power and authority to execute, deliver and perform its obligations under this Agreement. The execution, delivery, and performance of this Agreement by Seller:
(i) has been duly authorized by requisite limited partnership action; and
(ii) does not conflict or result in a violation or breach of or result in the acceleration of rights, benefits or payments under the organization documents of Seller. This Agreement constitutes a legal, valid and binding obligation of Seller, enforceable against Seller, except as the enforceability thereof may be limited by bankruptcy, insolvency, reorganization, moratorium or other similar laws affecting creditors’ rights generally and general principles of equity (regardless of whether enforceability is considered in proceeding at law or in equity).
Authority; Binding. Purchaser has the company power and authority to execute, deliver and perform its obligations under this Agreement. The execution, delivery, and performance of this Agreement by Purchaser:
(i) has been duly authorized by requisite company action; and
(ii) does not conflict or result in a violation or breach of or result in the acceleration of rights, benefits or payments under the certificate of formation or operating agreement of Purchaser. This Agreement constitutes a legal, valid and binding obligation of Purchaser , enforceable against Purchaser except as the enforceability thereof may be limited by bankruptcy, insolvency, reorganization, moratorium or other similar laws affecting creditors’ rights generally and general principles of equity (regardless of whether enforceability is considered in a proceeding at law or in equity)
