Authorization and Direction. The Holder hereby authorizes and directs the Collateral Agent to execute and deliver all such agreements, instruments or documents and take all such further actions on behalf of the Holder, which shall in the Collateral Agent’s sole judgment be necessary, proper and advisable in order to terminate, upon the Closing of the Permitted Transaction (but not before), the security interests (including mortgages) that the Collateral Agent, on behalf of the Secured Parties, has solely in the properties and assets to be sold in the Permitted Transaction.
