Authorized Affiliates. The parties agree that, by executing the DPA, the Customer enters into the DPA on behalf of itself and, as applicable, in the name and on behalf of its Authorized Affiliate(s), thereby establishing a separate DPA between Okta and each such Authorized Affiliate, subject to the provisions of the Agreement. Each Authorized Affiliate agrees to be bound by the obligations under this DPA and, to the extent applicable, the Agreement. An Authorized Affiliate is not and does not become a party to the Agreement, and is only a party to the DPA. All access to and use of the Service by Authorized Affiliate(s) must comply with the terms and conditions of the Agreement and any violation thereof by an Authorized Affiliate shall be deemed a violation by Customer.

Through the mutual written agreement by each Party, and once an EA affiliate executes the “Authorized Affiliate” form attached as Exhibit 3, then EA’s authorized affiliate may exercise the rights granted to EA under this Agreement. The Parties acknowledge and agree that, by executing the Service Agreement, the Data Controller enters into the Addendum, in the name and on behalf of its Authorized Affiliates (to the extent any such Affiliates are authorized under the applicable Service Agreement), thereby establishing a separate Addendum between the Data Processor and each such Authorized Affiliate subject to the provisions of the Service Agreement and this clause 9. Each Authorized Affiliate agrees to be bound by the obligations under this Addendum and, to the extent applicable, the Service Agreement. The Data Controller represents and warrants that it has been duly authorized by its Authorized Affiliates to enter into this Addendum in the name and on behalf of its Authorized Affiliates.

If Publisher and an affiliate execute the “Publisher Affiliate Agreement” provided in Exhibit 4, then Publisher’s authorized affiliate may exercise the rights granted to Publisher under this Agreement. Authorized Affiliates. ▇▇▇▇▇’▇ agrees that the Services hereunder may be provided to Customer’s Authorized Affiliates subject to the following:
(a) Each Authorized Affiliate has agreed with Customer that Customer may cause such Authorized Affiliate to be bound by all of the terms and provisions of this Agreement, including without limitation, those providing for the transfer of ownership of the Property, the rights of use and access to the Equipment, and the agreements and covenants set forth in Sections 4, 5, 6 and 11, in each case as if such Affiliate had executed this Agreement directly as “Customer”, and such Authorized Affiliate shall promptly provide to ▇▇▇▇▇’▇ information regarding the operations, business affairs and financial condition of the Authorized Affiliate, as ▇▇▇▇▇’▇ may reasonably request from time to time, for purposes of Brink’s initial and ongoing KYC process requirements;
(b) Based on Brink’s KYC process requirements, ▇▇▇▇▇’▇ shall have the right to approve or reject any Affiliate from receiving Services at any time during the Agreement Term;
(c) Each Authorized Affiliate shall be directly responsible for all payment obligations under this Agreement applicable to it as a Customer hereunder, and any failure by an Authorized Affiliate to comply with this Agreement will be deemed to be an Event of Default hereunder. Further, Customer and each Authorized Affiliate agrees that it shall be jointly and severally responsible for all payment obligations under this Agreement owing by Customer or Customer’s Affiliates;
(d) In no event shall an Authorized Affiliate have the right to take any action against ▇▇▇▇▇’▇ to enforce the terms of this Agreement, and such action may be brought only by Customer, including, without limitation, any claims for Loss as described under Section 7. Customer agrees ▇▇▇▇▇’▇ will only be liable to Customer for all of its respective rights, duties, and obligations under this Agreement with respect to such Authorized Affiliate. For the avoidance of doubt, Customer shall be solely responsible to file a claim for Loss pursuant to Section 7 on behalf of its Authorized Affiliates, and any reimbursement shall be directly to Customer for such Loss;
(e) Customer agrees that an Affiliate of Customer, that is not an Authorized Affiliate, shall have no right to take action against ▇▇▇▇▇’▇ to enforce the terms of this Agreement, for claims for Loss pursuant to Section 7, or for any other reason in connection with the rights and obligations under this A...
Authorized Affiliates. Publisher affiliates authorized to perform the rights and obligations under this Agreement are:
Authorized Affiliates. The Customer may allow Authorized Affiliates to use and benefit from the Services if so provided for in an Order Form.
Authorized Affiliates. Any Notices sent to an Authorized Affiliate shall be addressed to the Customer.
Authorized Affiliates. 11.1 Customer enters into this Addendum on behalf of itself and in the name and on behalf of its Authorized Affiliates, if and to the extent PROS Processes Personal Data for which such Authorized Affiliates qualify as the Controller. For the avoidance of doubt, an Authorized Affiliate is not and does not become a party to the Agreement and is only a party to this Addendum.
11.2 Authorized Affiliates may exercise its rights and enforce the terms of this Addendum directly against PROS, subject to the following:
11.2.1 except where European Data Protection Law require that the Authorized Affiliate itself exercise a right or enforce a claim, Customer will exercise any such right or claim directly against PROS on behalf of such Authorized Affiliate; and
11.2.2 Customer will exercise any rights under the Addendum in a combined manner for itself and all Authorized Affiliates together rather than separately.
Authorized Affiliates. If the parties and Publisher’s Affiliate execute the “Authorized Affiliate” form (as provided by Microsoft in the Publisher Guide), such Affiliate may exercise the rights granted to Publisher under this Agreement. The foregoing will not apply to any Publisher Affiliate that operates from a European billing address. Any such European Affiliate must execute a Publisher Enrollment Form with Microsoft Ireland Operations Ltd., in the form provided in the Publisher Guide.
