Authorized and Issued Capital of Clermont. The authorized share capital of Clermont consists of an unlimited number of Clermont Shares. As of the close of business on December 31, 2012, there are 15,800,001 issued and outstanding Clermont Shares. As of the close of business on December 31, 2012, there are no options, warrants, conversion privileges or other rights, shareholder rights plans, agreements, arrangements or commitments (pre-emptive, contingent or otherwise) of any character whatsoever requiring or which may require the issuance, sale or transfer by Clermont of any securities of Clermont, or any securities or obligations convertible into, or exchangeable or exercisable for, or otherwise evidencing a right or obligation to acquire, any securities of Clermont (including Clermont Shares), other than 1,880,000 options. Other than the Clermont Shares and the options referred to in the preceding sentence, there are no securities of Clermont outstanding. There are no outstanding contractual or other obligations of Clermont to repurchase, redeem or otherwise acquire any of its securities. There are no outstanding bonds, debentures or other evidences of indebtedness of Clermont having the right to vote with the holders of the outstanding Clermont Shares on any matter. All outstanding Clermont Shares are validly issued, fully-paid and non-assessable shares in the capital of Clermont.
