Automotive Directors and Officers. On or prior to the Distribution Date, MTI and Automotive shall take all necessary actions so that as of the Effective Time: (i) the directors and executive officers of Automotive shall be those set forth in the Information Statement, unless otherwise agreed by the Parties; (ii) except those individuals who will continue to serve as members of the MTI Board after the Effective Time, as set forth in the Information Statement, each individual referred to in clause (i) shall have resigned from his or her position, if any, as a member of the MTI Board, as an executive officer of MTI and as a member of the board of directors or other governing body or as an executive officer of any other member of the MTI Group, as applicable; and (iii) Automotive shall have such other officers as Automotive shall appoint.
