Average Closing Price. Average Closing Price" shall mean the average --------------------- of the daily closing prices for a share of the Company's common stock, for the twenty (20) trading days preceding the Change of Control Date, on the Composite Tape for the New York Stock Exchange -- Listed Stocks, or, if the common stock is not listed on such Exchange, on the principal United States securities exchange registered under the Securities Exchange Act of 1934, as amended, on which the common stock is listed, or, if the common stock is not listed on any such Exchange, the average of the daily closing bid quotations with respect to a share of the common stock for such twenty (20) trading days on the National Association of Securities Dealers, Inc. Automated Quotations Systems or any system then in use.
Average Closing Price. The "Average Closing Price" --------------------- shall mean the average of closing prices of the Parent Common Stock as reported on the New York Stock Exchange for the 20 trading days ending on and including the third day immediately preceding the Closing Date.
Average Closing Price. The term "Average Closing Price" shall mean the average closing price of ATMI Common Stock on The Nasdaq National Market for the twenty (20) trading days ended five (5) days prior to the date of ATMI's meeting of stockholders to approve the Merger; provided that (i) in the event that the Average Closing Price is greater than $16 per share, the Average Closing Price shall be deemed to be $16 per share; and (ii) in the event that the Average Closing Price is less than $14 per share, the Average Closing Price shall be deemed to be $14 per share.

Average Closing Price. ("NYSE") for the ten consecutive trading days ending immediately prior to the second trading day prior to the Closing Date (the "Pricing Period"), appropriately adjusted for any stock splits, reverse stock splits, stock dividends, recapitalizations or similar transactions; provided, however, that if any ex-dividend trading with respect to any regular quarterly cash dividend on Bakex Xxxhxx Xxxmon Stock occurs on or after the first day of the Pricing Period and prior to the Closing Date, then for purposes of calculating the Average Closing Price (x) if the related record date occurs prior to the Effective Time, the closing price of Bakex Xxxhxx Xxxmon Stock for each day prior to the related ex-dividend date included in the Pricing Period shall be reduced by the amount per share of such dividend and (y) if the related record date occurs at or after the Effective Time, the closing price of Bakex Xxxhxx Xxxmon Stock for each day on or after such ex-dividend date included in the Pricing Period shall be increased by the amount per share of such dividend.
Average Closing Price. Pursuant to clause (x) of Section 5.01(c) of the Indenture, the Average Closing Price is calculated to be $15.919.
Average Closing Price. To the extent that the Indemnitees make a claim against the Escrow Fund pursuant to the Escrow Agreement, and such claim is paid in shares of Buyer Common Stock, then for purposes of such payment, the shares of Buyer Common Stock shall be valued at the Average Closing Price.
