Benefits; Expenses. During the Term, the Company shall provide Executive and his dependents with medical insurance and such other cash and noncash benefits, on the same terms and conditions, as amended from time to time, as are generally made available by the Company to its full-time executive officers. Executive shall be entitled to four (4) weeks of paid vacation per year. The Company shall pay, or reimburse Executive for, all business expenses incurred by Executive which are related to the performance of Executive's duties, subject to timely submission by Executive of payment or reimbursement requests and appropriate documentation, in accordance with the Company’s reimbursement policies.

Benefits; Expenses. The Executive, together with his spouse and dependent children, shall be permitted, to the extent eligible, to participate at the Company's expense in any group medical, dental, life insurance and disability insurance plans, or similar benefit plans of the Company that are available to other executive officers in each case pursuant to the terms and conditions of each such plan or program. The Executive shall also be entitled to four (4) weeks' annual vacation. Without limiting the generality of the foregoing, the Company shall reimburse the Executive for all reasonable business and travel expenses actually incurred or paid by the Executive in the performance of services on behalf of the Company, in accordance with the Company's expense reimbursement policy as in effect from time to time.

Benefits; Expenses. (a) During the Term, Feltheimer shall be eligible for all employee benefits (including health insurance and 401(k) or other retirement plans) per Lions Gate’s standard benefit program on terms not less favorable than those provided generally to other senior executives of Lions Gate. Feltheimer shall be entitled to take paid time off without a reduction in salary, subject to the demands and requirements of Feltheimer’s duties and responsibilities under this Agreement. Feltheimer shall not accrue any vacation. (b) During the Term, Lions Gate shall, consistent with its normal practice, promptly reimburse Feltheimer for all travel, entertainment and other reasonable business expenses incurred by him in promoting the business of Lions Gate. In addition to the benefits provided in Section 7(a), Feltheimer shall be entitled to benefits commensurate with his position as Chief Executive Officer of a publicly held company in the entertainment industry. Without limiting the foregoing, Feltheimer shall be permitted to use Lions Gate’s private plane on terms consistent with past practice and entitled to payment by Lions Gate of reasonable club membership dues. (c) During the Term, Lions Gate shall provide Feltheimer with life and disability insurance policies providing Feltheimer (or his estate, as applicable) with US$2,000,000 in benefits. Feltheimer shall reasonably cooperate with Lions Gate in fulfilling its obligations to provide such policies. (d) Notwithstanding the foregoing, nothing contained in this Agreement shall obligate Lions Gate to adopt or implement any benefits, or prevent or limit Lions Gate from making any blanket amendments, changes, or modifications of the eligibility requirements or any other provisions of, or terminating, in its entirety, any benefit at any time, and Feltheimer’s participation in or entitlement under any such benefit shall at all times be subject in all respects thereto; provided, however, that Feltheimer shall be treated no less favorably than other senior executives of Lions Gate generally.
Benefits; Expenses. (a) The Employee shall be entitled to receive the same standard employment benefits as other executives of the Employer receive. The Employee shall be entitled to fully participate in all of the Employer's future employee benefit programs in accordance with their then-existing terms. The Employee shall be entitled to reimbursement for all approved reasonable travel and other business expenses incurred by the Employee in connection with his services to the Employer pursuant to the terms of this Agreement. All business expenses for which the Employee seeks reimbursement from the Employer shall be adequately documented by the Employee in accordance with the Employer's procedures covering expense reimbursement and in compliance with the regulations of the U.S. Internal Revenue Service. (b) The Employee shall be entitled to five weeks of vacation during each year of the Employment Period. The Employee may accrue and carry forward vacation time to future years; provided, however, that in no event may the Employee carry forward into any year in excess of five weeks of accrued paid vacation time.

Benefits; Expenses. During the Term, the Executive (i) shall be entitled to such health, medical, insurance and fringe benefits as are available generally to similar-level employees of the Company (or their counterparts at Direct Insite); and (ii) shall be reimbursed for all reasonable and necessary expenses incurred in connection with the business of the Company, upon the submission of appropriate documentation with respect thereto.
Benefits; Expenses. (a) During the Employment Period, Executive shall be entitled to participate in all employee benefit plans sponsored by the Company for its executive employees, including, but not limited to, Executive Health Benefits, health and dental insurance, term life insurance in the amount of two (2) million dollars, and disability insurance. (b) The Company agrees to maintain at least twenty million dollars ($20,000,000.00) of (“Director and Officer (‘D&O’) Liability Insurance”) at all times during Executive’s employment to cover Executive, which shall cover Executive during his employment as well as for any applicable statute of limitations following Executive’s employment with the Company. The Company shall indemnify and hold harmless Executive, and shall directly pay any such cost directly, for any fees or expenses, or other costs which are the responsibility or otherwise charged to Executive with respect to claims made under the D&O Liability Insurance, including, without limitation, deductibles, fees, or any other cost of any type or nature. Additionally, to the extent that the Company does not maintain such coverage during or after Executive’s employment, or if such coverage is insufficient to cover any claim or judgment against the Executive that would have otherwise been covered under the D&O Liability Insurance, the Company shall indemnify and hold harmless Executive from any and all such claims and/or judgements to the fullest extent permissible by law. (c) The Company will reimburse Executive for all “Reasonable Out-of-Pocket Business Expenses,” as defined in Section 10(a) of this Agreement, incurred by Executive during the Employment Period in the course of performing Executive’s duties and responsibilities under this Agreement. Executive shall be entitled to reimbursement by the Company for airline tickets for all air travel incurred in connection with performing services for the Company. The Executive must file expense reports with respect to such expenses and such expenses (and expense reports therefor) shall comply with the Company’s written policies in effect at the time such expenses are incurred. (d) Executive’s principal office shall be located in the Atlanta, Georgia greater metropolitan area (“Atlanta”).
