BINDING AND ENTIRE AGREEMENT. The terms and conditions of this Restricted Stock Unit Award Agreement shall inure to the benefit of and be binding upon the respective successors and assigns of the parties. This Restricted Stock Unit Award Agreement, together with the Plan and any attachments hereto or thereto, constitute the full and entire understanding and agreement between the parties with regard to the subjects hereof and thereof no party shall be liable or bound to any other party in any manner by any representations, warranties, covenants and agreements except as specifically set forth herein and therein.
BINDING AND ENTIRE AGREEMENT. The terms and conditions of this Stock Option Agreement shall inure to the benefit of and be binding upon the respective successors and assigns of the parties. This Stock Option Agreement, together with the Plan and that certain Executive Employment Agreement between the parties and dated as of the date hereof, and any attachments hereto or thereto, constitute the full and entire understanding and agreement between the parties with regard to the subjects hereof and thereof and no party shall be liable or bound to any other party in any manner by any representations, warranties, covenants and agreements except as specifically set forth herein and therein.
BINDING AND ENTIRE AGREEMENT. This Sublease shall be binding on Subtenant and its heirs and executors, and on the respective legal representatives, successors and assigns of the parties. This Sublease contains the entire agreement of the parties with respect to the subject matter herein and may not be modified except by instrument in writing which is signed by both parties.
BINDING AND ENTIRE AGREEMENT. Subject to the restrictions on Transfers set forth herein, this Agreement shall inure to the benefit of, and be binding upon, the undersigned Partners and their respective legal representatives, successors and assigns. This Agreement, the other documents and agreements expressly contemplated herein and the Exhibits attached hereto constitute the entire agreement of the Partners with respect to the subject matter hereof, and supersede all prior agreements or negotiations, whether written or oral.
BINDING AND ENTIRE AGREEMENT. This Agreement has been duly signed and attested to and is authorized by the Corporation's Board of Directors in accordance with the Operative Documents. This Agreement may be modified or amended only in writing executed by the party against whom enforcement is sought. Notwithstanding any other provisions of the Proprietary Documents to the contrary, the provisions of this Agreement shall control and no amendment or violation of the Proprietary Documents shall render invalid the rights of Lender granted herein. If any provision of this Agreement is found to be invalid of unenforceable, such invalidity or unenforceability shall not affect the remaining provisions of this Agreement..
BINDING AND ENTIRE AGREEMENT. This Sub-Sublease shall be binding on PRG and Manhattan, and each of its respective legal representatives, successors and permitted assigns. This Sub-Sublease contains the entire agreement of the parties with respect to the subject matter herein and may not be modified except by instrument in writing, which is signed by both parties.
BINDING AND ENTIRE AGREEMENT. This Agreement relating to the Board’s Employee Retirement Incentive Plan (the “Plan” as per Exhibit A attached), constitutes a valid and binding agreement (“Agreement”) between the School Board and EPC. This Agreement supersedes and supplants any and all previous agreements between the parties, written or oral. All amendments hereto shall be binding only if in writing and signed by both parties. .
BINDING AND ENTIRE AGREEMENT. Subject to the restrictions on assignments set forth herein, this Agreement shall inure to the benefit of, and be binding upon, the undersigned Members and their respective legal representatives, heirs, successors and assigns. This Agreement and the applicable Class B Member Agreement, as the case may be, constitute the entire agreement of the Members with respect to the subject matter hereof, and supersede all prior agreements or negotiations, whether written or oral.
BINDING AND ENTIRE AGREEMENT. 14.1. This Lease Agreement replaces and supersedes the lease agreement, entered into between the Parties on 10 July 2015, as amended with an amendment agreement, dated 1 November 2015 and a second amendment agreement, dated 15 December 2015.
