Binding Commitments. No binding commitment has been made by any of the Sellers to any governmental authority, utility company or any other organization, group or individual relating to the Real Property or any part thereof which imposes upon or could impose upon any of the Sellers an obligation to make any contribution or dedication of money or land or to construct, install or maintain any improvements of a public or private nature on or off such Real Property.
Binding Commitments. Each PO shall represent a binding commitment by BHGE to purchase and, upon acceptance, a binding commitment by GE Aviation to supply, such LM Products, Spare Parts and Services in accordance with the terms of this Agreement and the GE Aviation Supplemental Terms. For the avoidance of doubt, GE Aviation has an obligation to accept all POs from BHGE that comply with the terms of this Agreement.
Binding Commitments. Pursuant to MCA §§ 27-31-104(4) and 00-00-000, this Agreement constitutes a binding obligation of each Party hereto (including any future governing boards of the Local Authority) upon execution of this Agreement by Parties and approval by MDA up to and through the FIL Term, and no application or approval under MCA § 00-00-000 is or shall be required.
Binding Commitments. Optionor shall not make any commitments or representations to any applicable government authorities, any adjoining or surrounding property owners, any civic association, any utility or any other similar person or entity that would in any manner be binding upon Optionee or the Property without Optionee's prior consent, except such agreements that would not have a material adverse effect on the Property.
Binding Commitments. The first quarter (consecutive three-month period) of each Forecast shall be a binding commitment (the “Order Commitment” for the applicable Product for such quarter) on Eisai to place Purchase Orders, sufficiently in advance of such quarter as described in Section 4.1, to order the applicable Product, on a country-by-country, packaging configuration-by-packaging configuration and use-by-use basis, in amounts at least equal to the amounts forecast to be delivered, which commitment cannot be modified (absent Arena’s written consent); provided, that, notwithstanding the foregoing, in no event shall Eisai be obligated to submit Purchase Orders for any quantities of Product for non-clinical purposes in a country if Regulatory Approval is not obtained in such country for the applicable Product. Each such Forecast shall otherwise be non-binding, except as provided below in this Section 4.2, but shall reflect Eisai’s good faith expectation (at the time of submitting the Forecast) of the orders of Product and projected delivery dates during the period covered by the Forecast. In each Forecast, the total quantity of Product forecasted to be delivered by Arena during the first quarter in such Forecast may not vary (either up or down) by more than: (X) 25% from the amounts of such Product forecasted to be delivered for the quarter in the earlier Forecast in which such quarter was the second quarter of the Forecast; or (Y) 50% from the amounts of such Product forecasted to be delivered for the quarter in the earlier Forecast in which such quarter was the third quarter of the Forecast.
Binding Commitments. The Contractor must identify its representatives with the authority to make binding commitments on the Contractor's behalf and state the extent of that authority.
Binding Commitments. Contributors shall not make nor permit the Partnership to make any commitments or representations to any applicable government authorities, any adjoining or surrounding property owners, any civic association, any utility or any other similar person or entity that would in any manner be binding upon Transferee or the Property without Transferee's prior consent, except such agreements that would not have a material adverse effect on the Property.

Transferor shall not make nor permit the Partnership to make any commitments or representations to any applicable government authorities, any adjoining or surrounding property owners, any civic association, any utility or any other similar person or entity that would in any manner be binding upon Transferee or the Property without Transferee's prior consent, except such agreements that would not have a material adverse effect on the Property.
Binding Commitments. Neither the Company nor any of its Subsidiaries has made nor will the Company or any of its Subsidiaries make any commitments or representations to the applicable Governmental Entities, any adjoining or surrounding property owners, any civic association, any utility, or any other Person that would in any manner be binding upon Parent, the Surviving Corporation or the Property. To the Knowledge of the Company, no such commitments or representations were made by any of the Company's or its Subsidiaries' predecessors in title.
Binding Commitments. Seller has not made and will not make any commitments or representations to the applicable governmental authorities, any adjoining or surrounding property owners, any civic association, any utility, or any other person or entity that would in any manner be binding upon Purchaser or the Property. To the best of Seller's knowledge, no such commitments or representations were made by any of Seller's predecessors in title.
