Binding Effect; Modification. This Agreement is binding upon the Company and Participant and their respective heirs, executors, administrators, legal representatives, successors and assigns. The Agreement may not be modified except in writing signed by both parties.

Binding Effect; Modification. This Agreement is binding upon the parties to this Agreement and their respective executors, administrators, personal representatives, heirs, permitted assigns and successors in interest. No amendment, change, or modification of this Agreement shall be binding on any party unless executed in writing by you and us.
Binding Effect; Modification. This Modification Agreement shall be binding upon the parties hereto and their successors and permitted assigns and may not be further modified except by written agreement executed against the party against whom such modification is sought to be enforced.

SART may unilaterally amend this Agreement at any time by providing notice of the amendment to ART Clinic and such amendment will become effective not less than thirty (30) days following notice to the ART Clinic. In the event ART Clinic does not agree with the amendment, ART Clinic may terminate this Agreement as of the effective date of the amendment upon notice to SART; provided, however, that such notice of termination must be received by SART no later than the effective date of the amendment. This Agreement and its Exhibits, together with the provisions of the Note and other documents specifically identified herein, constitute the final, complete and exclusive agreement between the parties hereto relating to the subject matter hereof superseding all prior or contemporaneous oral or written understandings with respect to such subject matter, and no amendment or waiver of any provision of this Agreement or the Note nor consent to any departure by LMI therefrom shall in any event be effective unless the same shall be in writing and signed by Ajit and LMI, and then such waiver or consent shall be effective only in the specific instance and for the specific purpose for which given.
