The Company shall take all such action, if any, as is reasonably necessary in order to obtain an exemption for or to register or qualify (i1) the issuance of the Commitment Shares and the initial sale of the Purchase Shares Preferred Stock to the Investor Buyers under this Agreement and (ii2) any subsequent resale sale of all Commitment Shares and all Purchase Shares the Preferred Stock by the InvestorBuyers, in each case, under applicable securities or “Blue Skyblue sky” laws of the states of the United States in such states as is reasonably requested by the Investor from time to timenecessary in connection with such sales, as required under applicable law of such states, and shall provide evidence of any such action so taken to the InvestorBuyer Representative.
