Books and Records. In compliance with the requirements of Rule 31a-3 under the 1940 Act, the Sub-Advisor hereby agrees that all records which it maintains for the Fund are the property of the Trust and further agrees to surrender promptly to the Trust any of such records upon the Trust’s request. The Sub-Advisor further agrees to preserve for the periods prescribed by Rule 31a-2 under the 1940 Act the records required to be maintained by Rule 31a-1 under the 1940 Act with respect to the services provided by the Sub-Advisor hereunder.

In compliance with the requirements of Rule 31a-3 3la-3 under the 1940 Act, the Sub-Advisor Adviser hereby agrees that all records which it maintains for the each Fund are the property of the Trust and further agrees to surrender promptly to the Trust any of such records upon the Trust’s 's written request. The Sub-Advisor Adviser further agrees to preserve for the periods prescribed by Rule 31a-2 3la-2 under the 1940 Act the records required to be maintained by Rule 31a-1 3la-1 under the 1940 Act with respect to the services provided by the Sub-Advisor hereunderAct.

Books and Records. In compliance with the requirements of Rule 31a-3 under the 1940 Act, the Sub-Advisor Adviser hereby agrees that all records which that it maintains for the each Fund under this Agreement are the property of the Trust and further agrees to surrender promptly to the Trust or the Adviser any of such records upon the Trust’s request. The Sub-Advisor Adviser further agrees to preserve for the periods prescribed by Rule 31a-2 3 la-2 under the 1940 Act the records required to be maintained by Rule 31a-1 31a-l under the 1940 Act with respect to the services provided by the Sub-Advisor hereunderAct.

Books and Records. In compliance with the requirements of Rule 31a-3 under the 1940 Act, the Sub-Advisor hereby agrees that all records which it maintains for the Fund Trust are the property of the Trust and further agrees to surrender promptly to the Trust any of such records upon the Trust’s 's request. The Sub-Advisor further agrees to preserve for the periods prescribed by Rule 31a-2 under the 1940 Act the records required to be maintained by Rule 31a-1 31a­1 under the 1940 Act with respect (to the services provided extent such books and records are not maintained by the Sub-Advisor hereunderAdvisor).

In compliance with the requirements of Rule 31a-3 promulgated under the 1940 Act, the Sub-Advisor hereby agrees that, to the extent that all it may maintain records which it maintains for the Fund Trust, all such records are the property of the Trust and further agrees to surrender promptly to the Trust any of such records upon the Trust’s 's request. The Sub-Advisor further agrees to preserve for the periods prescribed by Rule 31a-2 promulgated under the 1940 Act the any such records required to be maintained by Rule 31a-1 promulgated under the 1940 Act with respect to the services provided by the Sub-Advisor hereunderAct.

The Sub-Advisor Adviser further agrees to preserve for the periods prescribed by Rule 31a-2 under the 1940 Act the records required to be maintained by Rule 31a-1 under the 1940 Act with respect to the services provided by the Sub-Advisor hereunderAct.
