Common use of Breach and suspension Clause in Contracts

Breach and suspension. If you breach this Agreement, the User Agreement, or a security requirement imposed by PCI DSS, PayPal may immediately suspend your use of your Product (in other words, we may render your Product temporarily inoperable). PayPal may require you to take specified corrective actions to cure the breach and have the suspension lifted, although nothing in this Agreement precludes PayPal from pursuing any other remedies it may have for breach. In addition, if PayPal reasonably suspects that you may be in breach of this Agreement or PCI DSS, PayPal may suspend your use of your Product pending further investigation. If PayPal suspends your access to the Product, PayPal will notify you and explain the basis of PayPal’s actions in suspending your use of the Product, and may specify corrective actions to cure the breach and have the suspension lifted. PayPal’s suspension of your access or use of the Product will remain in effect and until such time as PayPal is satisfied that you have remedied the applicable breach(es). Back to top
