Broker Representations and Warranties. Broker hereby makes the following representations and warranties to the Lender and acknowledges that this Section 5 is a specific and material aspect of this Agreement and that the Lender would not be proceeding with the Broker if the representations and warranties contained in this Section 5 were not a part of this Agreement: (i) Broker has obtained all licenses, if any, required to carry on the Potential Transactions; (ii) Broker has not, and will not, omit or misrepresent any of the information pertaining to the Referred Parties or any collateral that may secure a Potential Transaction; (iii) There are no undisclosed third parties entitled to the payment of any fee in connection with the Potential Transactions; and (iv) All documents submitted to the Lender by the Broker are valid and genuine in every respect.
Broker Representations and Warranties. In addition to the Broker representations and warranties in the Agreement, Broker herby makes the following representations and warranties to Lender. Lender shall be deemed to have conclusively relied on the representations and warranties, regardless of any independent investigation Lender may have made or may hereafter make: 2.1. Broker has the power, authority and legal right to make, deliver and perform under this Addendum, and all of the transactions contemplated hereunder; and has taken all necessary action to authorize and execute delivery and performance of this Addendum. Broker is authorized under applicable FHA regulations to originate FHA loans and has fully complied with all requirements, standards and guidelines under applicable FHA regulations, as amended from time to time. Broker is authorized to act as Lender’s Loan Correspondent or Principal Agent as defined under the Principal-Agent Authorized relationship solely for the purpose of processing, originating and insuring FHA Loans submitted to Lender for underwriting and funding. Broker has and will continue to comply with all of the requirements for approval by the Department of Housing and Urban Development (“HUD”) as a Loan Correspondent or Approved Direct Endorsed Non-Supervised Mortgagee as set forth in 24 CRF Part 202 and 203.3 and Sections 203(b) and 234(c) as amended from time to time, HUD Handbook 4060.1 REV-1, as updated by applicable Mortgagee Letters, and Mortgagee Letter 94-47. 2.4. Neither this Addendum nor any statement, report, or other document furnished or to be furnished pursuant to this Addendum or in connection with the transactions contemplated hereby contains any untrue statement of fact or omits to state a fact necessary to make the statements contained therein not misleading. 2.5. To the extent that the mortgage activities contemplated in this addendum require federal, state or local licensing, registration or other approval, Broker has obtained such license, registration or approval and will maintain them in good standing at all times during the term of this Addendum. 2...

Broker Representations and Warranties. Broker hereby represents and warrants to Lender as follows as of the date of this Agreement and throughout the term of this Agreement: a. It is and will remain duly organized and validly existing as a corporation, partnership, or other form of organization in good standing under the laws of the jurisdiction of its organization; and it has and will continue to have the requisite power and authority to enter into and perform this Agreement and to originate the Loans. Broker shall immediately notify Lender if any license, registration or approval is suspended, terminated or cancelled for any reason or if Broker fails to be in compliance with qualification or licensing laws of any jurisdiction in which it conducts business; failure to do so shall constitute a material breach under this Agreement. c. It has and will continue to have the minimum net worth for a licensed mortgage broker, mortgage banker, or lender, in the states in which it conducts loan originations. d. Broker shall promptly provide to Lender from time to time upon Xxxxxx 's request financial statements, copies of any required surety bonds, updated credit reports and background checks, copies of licenses, registrations and approvals and any other information, documents or reports requested by Lender to conduct a review of Broker and its operations and/or to confirm that Broker remains fully licensed, in good standing, solvent, and operates in compliance with this Agreement and applicable law. e. Broker shall be solely responsible for, and shall pay in full, costs and expenses directly or indirectly incurred in performing its duties hereunder. Xxxxxx shall have no right to reimbursement of costs and expenses by Xxxxxx unless Xxxxxx agrees to such reimbursement in writing. Broker Representations and Warranties. Broker represents and warrants and covenants to Company the following: (a) it is currently in compliance with all applicable Laws and is not currently, and has not been subject to or threatened with any written complaint, enforcement action, disciplinary proceeding or lawsuit by any governmental entity or private party alleging a violation of a liability under any Law; (b) it shall not take any action that would violate any Law, contract, agreement, including any non-competition agreement, in performing the Services; (c) it shall not act in any manner that could cause Company's reputation or good will to be impaired; (d) it shall not utilize agents to perform the Services without the prior written consent of Company, such consent to be granted in Company's sole discretion. Further, if agents are engaged by Broker to perform the Services with Company's consent, it shall ensure such agents comply fully with the terms and conditions of this Agreement, and failure to do so shall constitute an event of default under Section 4.2(vi); (e) it has not entered into any agreement with any person, firm or corporation that would obligate Company to pay any commission, or "finder's fee" to any third party in connection with a Customer Agreement; (f) it is not subject to any non-competition agreement that would be violated upon Broker's execution of this Agreement; and (g) it now has and will use all reasonable efforts to maintain in full force and effect all consents, licenses and authorizations of any governmental or other authority that is required to be obtained by it with respect to this Agreement and will use all reasonable efforts to obtain any that may become necessary in the future.
Broker Representations and Warranties. Broker represents and warrants as of the date of each agreement and with the submission of each application and its related documentation: (i) that it has all requisite authority to enter into this Agreement and to execute the transactions contemplated hereunder; (ii) that it has all required legal or regulatory approvals, licenses, or authorizations to conduct the business of brokering loans in all jurisdictions in which operates; (iii) that the entering into and performance under this Agreement shall not cause Broker to violate the terms of any governing organizational instrument of Broker or any other instrument or agreement to which Broker is a party; and (iv) that there is no action, suit, proceeding or investigation pending or threatened against Broker which may result in a material adverse change in Broker's business or financial condition or its ability to perform under this Agreement.
