Business Affairs. If any Loan Party is enjoined, restrained, or in any way prevented by court order from continuing to conduct all or any material part of its business affairs; or
Business Affairs. (a) The Borrower's business and affairs have at all times been, and will at all times be, managed, controlled and conducted in its own name as an identifiable business, separate, independent and identifiable from the business of the other Obligor or any other person;
(b) The Borrower's records, books, accounts and minutes have at all times been, and will continue at all future times to be, maintained separate and distinct from those of the other Obligor or any other person;
(c) The Borrower's assets and liabilities and the funds have at all times been, and will continue at all future times to be, kept separate and distinct from the other Obligor or any other person; and it has received, deposited, withdrawn, paid and disbursed, and will at all future times receive, deposit, withdraw, pay and disburse, all monies, funds and receivables in the ordinary course of its business and in a manner separate and distinct from the other Obligor or any other person;
(d) The Borrower has not paid and will not pay, and is not and will not become liable for, any debt of the other Obligor or any other person; and
(e) That all dealings and transactions of the Borrower with all other persons have at all times been and will continue at all times to be at arms-length.
Business Affairs. The ordinary and usual decisions concerning the business affairs of the Company shall be made by the Officers. Management of the Company shall hereby be vested in the following Officers of the Company: Xxxxx Xxxxxxx President
Business Affairs. If any Loan Party is enjoined, restrained, or in any way prevented by court order from continuing to conduct all or any material part of its business affairs which would, individually or in the aggregate, reasonably be expected to adversely impact Agent’s Lien in any material respect or interest as a Lender in any material respect. (g)
Business Affairs. 19.19.1 It has good title to or validly leases or licenses all of the assets necessary to carry on its business as presently conducted, to the extent that failure to comply with this requirement could reasonably be expected to have a Material Adverse Effect.
19.19.2 It maintains insurances on and in relation to its business and assets against those risks and to the extent as is usual for companies in the jurisdiction in which it conducts its business carrying on substantially similar business in such jurisdiction.
19.19.3 There has been no change in the business, condition (financial or otherwise), operations, performance or properties or those of the Group taken as a whole since the date of the most recent Financial Statements delivered pursuant to Clause 20.1 (Financial statements) which change could reasonably be expected to have a Material Adverse Effect, other than as a result of the Demerger.
Business Affairs. If Parent or any Loan Party or any Restricted Subsidiary is enjoined, restrained, or in any way prevented by any Governmental Authority from continuing to conduct all or any material part of its business affairs for a period in excess of 30 calendar days, in the aggregate.
Business Affairs. The Purchaser is aware of the Seller's business affairs and financial condition and has acquired sufficient information about the Seller to reach an informed and knowledgeable decision to acquire the Shares. The Purchaser recognizes that investment in the Shares involves a number of significant risks.
Business Affairs. Promptly, such additional information regarding the business, financial or corporate affairs of the Borrower or any Subsidiary, or compliance with the terms of the Loan Documents, as the Lender may from time to time reasonably request.
Business Affairs. (i) The business and affairs of Guarantor has at all times been, and will at all times be, managed, controlled and conducted in its own name as an identifiable business, separate, independent and identifiable from the business of any other person;
(ii) The records, books, accounts and minutes of Guarantor have at all times been, and will continue at all future times to be, maintained separate and distinct from those of any other person;
(iii) The assets and liabilities and the funds of Guarantor have at all times been, and will continue at all future times to be, kept separate and distinct from any other person; and Guarantor has received, deposited, withdrawn, paid and disbursed, and will at all future times receive, deposit, withdraw, pay and disburse, all monies, funds and receivables in the ordinary course of its business and in a manner separate and distinct from any other person; and
(iv) All dealings and transactions of Guarantor with all other persons have at all times been and will continue at all times to be at arms-length.
Business Affairs. When upon the written request of the Union to the appropriate Local Housing Manager, the Employer grants leave without loss of pay or benefits to employees elected as executive officers or stewards of the Union, for the purpose of conducting the internal business affairs of the Union, the Union will reimburse the Employer for the wages paid.
