Common use of Business and Purpose Clause in Contracts

Business and Purpose. (a) The sole business and purpose of the Company shall be: (i) to acquire, own, hold, develop, construct, lease, operate, manage, maintain, mortgage, improve, repair, encumber, finance, refinance, sell, redevelop, rehabilitate, improve and otherwise deal with and dispose of, directly or indirectly, through Subsidiaries and Subsidiary Affiliates, the Property; and (ii) to conduct all activities reasonably necessary or desirable to accomplish the foregoing purposes and to do anything necessary or incidental to any of the foregoing, which in each case, is not a breach of this Agreement; (b) The Company may not engage in any other business or activity without the approval of all of the Class A Partners.
