Business Continuation. Advisor hereby represents, warrants and covenants to Vanguard that it (a) has and will maintain a disaster recovery and business continuation plan ("Business Continuity Plan") designed to ensure (i) the continued availability and provision of Advisor services throughout the term, (b) will update and revise such plan at least annually and following any significant business process or organization change, (c) will test the operability of such plan at least annually and revise such plan as necessary to ensure continued operability (including by correcting any material deficiencies identified by such testing in a commercially reasonable timeframe), and promptly provide Vanguard, upon request, with copies of all summary level reports and any other summaries resulting from such testing, (d) will, upon request by Vanguard not more frequently than annually, provide Vanguard information as to whether and when any audit of the plan was completed and, with respect to any such audit, promptly provide Vanguard with a copy of the summary level audit report and reasonable evidence, or a written confirmation, that any identified deficiencies have been corrected (or are being corrected in accordance with an appropriate plan and timetable), and (e) will activate such plan upon the occurrence of any event materially affecting the Advisor Services.

Business Continuation. Provider: (i) has and shall maintain a disaster recovery and business continuation plan designed to enable Provider to provide the Services; (ii) shall test the operability of such plan at least once every 12 months according to Provider’s internal procedures and revise such plan as necessary to ensure continued operability; and (iii) shall activate such plan upon the occurrence of any event materially affecting Provider’s ability to deliver Services.
Business Continuation. Continue, and cause each of its Subsidiaries --------------------- to continue, to operate its business substantially as currently operated.
Business Continuation. The current businesses operated by the parties will continue operating in the current fashion until the businesses are acquired and transferred to the SPV. Both parties must approve the engagement of any marketing group, outside agents or other activity that could incur costs or impact positively or negatively the image of the SPV or of the parties. Any existing entity owned by the parties will be considered first before outsourcing to any non-owned enterprise. The parties will be considered and given the opportunity to provide such services at rates equal to or less than the market prices for such services.

Business Continuation. Based on Client’s selection below, upon expiration, cancellation or termination of this Services Agreement, for any reason other than default, HQ will: (CHECK ONE ONLY) ¨ For a period of <# of Months> months (2 month minimum), forward Client’s mail on a once weekly basis to one single designated domestic address. Client’s assigned telephone number will remain active and calls will automatically direct to voicemail. Client will have unlimited access to voicemail during the Business Continuation term. Client must pay a monthly Business Continuation fee of $50 per month, plus the cost of all postage associated with the re-mailing service. ¨ Refuse, discard or destroy any mail or packages addressed to Client and delivered to Facility. Client’s assigned telephone number will be de-activated and all inbound calls to that number will receive an announcement that the number is no longer in service. Client hereby releases and forever discharges the HQ Parties for any claim, damage or liability based on failure to deliver any mail, package or voice messages after the termination of this Services Agreement. Payment for Business Continuation is due in upon expiration, cancellation or termination of this Services Agreement and payable in full, in advance for the selected number of months. Charges for postage associated with mail forwarding are due upon invoicing. Payment must be made by execution of Credit Card Authorization.
Business Continuation. USPG and NationsHealth shall (a) within 180 days after the original Effective Date (May 4, 2005), develop a detailed disaster recovery and business continuation plan, including resource and infrastructure requirements that shall enable USPG and NationsHealth to provide the Services in accordance with this Agreement, (b) during the term of this Agreement, implement and comply with the disaster recovery and business continuation services described in this Exhibit 6.03 and the plans developed pursuant to sub-section (a) above and (c) test and successfully verify to CIGNA that the disaster recovery and business continuation plan is fully operational and capable of restoring operations so that USPG or NationsHealth is providing the Services as contemplated in this Agreement. Upon the discovery by USPG or NationsHealth of a disaster or business interruption, USPG or NationsHealth shall promptly provide CIGNA and the impacted CIGNA entities with a notice of a disaster or business interruption or otherwise affecting the provision or receipt of the Services.
