Buyer Assignment. Notwithstanding anything herein to the contrary, and for all purposes of this Agreement and the transactions contemplated hereby, Seller and the Buyer agree that the Buyer shall be entitled to assign its rights to purchase all or a portion of the Purchased Assets and its obligations to assume all or portion the Assumed Liabilities to any one or more Affiliates of the Buyer.
Buyer Assignment. The Buyer may not assign or transfer any of its rights or duties under this Agreement without the prior written consent of the Seller.
Buyer Assignment. Buyer shall not assign, subcontract or delegate its rights, privileges or obligations under this Agreement without the prior written approval of Seller, such consent not to be unreasonably withheld. Notice of any assignment that does not require prior written approval shall be provided to the other Party as soon as practicable. If a Party fails to obtain prior written approval of the non-assigning Party to the extent required for an assignment under this Section 9.1, such assignment is voidable by such non-assigning Party.
Buyer Assignment. A. Buyer shall have the right to assign its rights under this Agreement without the prior written consent of Seller, provided that Buyer notifies Seller in writing of such assignment at least three (3) business days prior to the Closing, and further provided that any such assignment shall not relieve Buyer of its liability for any of its obligations and duties hereunder, including without limitation the obligations to indemnify and defend Seller; or,
Buyer Assignment. Buyer may assign its right to take title to the Purchased Assets and its rights and benefits under this Agreement in respect of the Purchased Assets (but not its obligations) to any person satisfying the requirements of Clause 19.07 of the Lease (a "Nominee") not later than the Delivery Date by delivering to Seller a Transfer Certificate in respect thereof executed by Buyer and such Nominee, Seller agrees that it will execute such Transfer Certificate prior to the Delivery Date. Buyer or its Nominee may assign or transfer all or any part of its rights or interests hereunder (but not its obligations) without the prior written consent of the Seller to any person to whom it may transfer the Aircraft or its interests in the Lease pursuant to Clause 19.07 of the Lease. Seller agrees that it will, at the request of Buyer, acknowledge any such assignment by Buyer or its Nominee of its rights and benefits under this Agreement. No assignment of this Agreement or of any rights hereunder shall relieve Buyer or any Nominee of any of its obligations or liabilities hereunder.
Buyer Assignment. Buyer may assign its rights under this Agreement and/or to the Buyer's Transponders only in whole, only to an Approved Participating Company (or any entity Controlled by an Approved Participating Company), and only if the following conditions are satisfied: (a) the proposed assignee in writing assumes all of Buyer's obligations with respect to this Agreement and agrees to be treated as Buyer for all purposes under this Agreement; (b) such written undertaking is delivered to PanAmSat at least thirty (30) days in advance of the assignment; (c) Buyer guarantees assignee's performance of payment obligations which obligations shall also continue to be subject to the guarantee requirements stated under Article 17 below; and (d) either (i) the assignee agrees in writing to continue the programming practices of Buyer; (ii) the assignee is one of the Approved Participating Companies as to whom (as shown in Appendix I) PanAmSat has consented to its current programming practices and said assignee agrees to follow the assignor's current programming practices (as
Buyer Assignment. Pursuant to Paragraph 21(a) of the Purchase Agreement, Seller acknowledges that Buyer has informed Seller of the Buyer assignees (for each Property) as required under such Paragraph.

If Buyer assigns the Contract or any of its rights or obligations (whether in whole or in part), Seller releases Buyer from all liability as to the part that was assigned or delegated and hold the assignee solely responsible for performance of all such obligations.
