Buyer Certificate Clause Samples

Buyer Certificate. Seller shall have received a certificate, signed by a duly authorized officer of the general partner of Buyer and dated the Closing Date, to the effect that the conditions set forth in Section 7.3(a) and Section 7.3(c) have been satisfied.

Buyer Certificate. The Seller shall have been furnished with a certificate of an authorized officer of the Buyer, dated the Closing Date, certifying to the effect that the conditions contained in Sections 8.1 and 8.2 have been fulfilled.

Buyer Certificate. The certificate required by Section 8.3(a);

Buyer Certificate. Seller shall have received at the Closing a certificate dated the Closing Date and validly executed on behalf of Buyer by an appropriate officer certifying that the conditions specified in Sections 6.02(a) and 6.02(b) have been satisfied.

Buyer Certificate. An authorized officer of Buyer shall have executed and delivered to the Sellers a certificate as to compliance with the conditions set forth in Sections 7.2(a) and (b); and

Buyer Certificate. The Buyer shall have delivered to the Seller a certificate to the effect that each of the conditions specified above in Sections 9.1 through 9.3 are satisfied.

Buyer Certificate. A written certification confirming that as of the Closing Date, no representation or warranty of Buyer contained in Section 5.2 hereof contains any untrue statement of a material fact.

Buyer Certificate. TMW, MSP and Buyer shall have delivered to ▇▇▇▇▇▇▇ and Sellers a certificate, dated the Closing Date, as to the fulfillment of the conditions set forth in Sections 6.2(a) and 6.2(b)and waiving its right to claim for matters arising between the date of this Agreement and the Closing Date that have been Disclosed in the Closing Disclosure Letter.

Buyer Certificate. The Company shall have been furnished with a certificate of an authorized officer of the Buyer, dated the Closing Date, certifying to the effect that the conditions contained in Sections 7.1 and 7.2 have been fulfilled and confirming the acknowledgement set forth in Section 9.2.
