Buyer Services. On the terms and conditions of this Agreement, Buyer hereby agrees to provide or cause one or more of its Subsidiaries or Affiliates or a Service Provider that is providing a Service to the Acquired Business to provide the services listed on Attachment B (the “Buyer Services”) to Seller and its Subsidiaries or Affiliates for the Term of this Agreement with respect to each Buyer Service.

Buyer Services. Seller will reimburse Buyer for all actual and reasonable costs Buyer incurs in providing the Buyer Services set forth in ARTICLE 3. For any amount of reimbursable costs and expenses (i) due to a third party, Seller will pay to Buyer the entire amount thereof within ten (10) business days after receipt of an invoice or similar document therefor; (ii) due to or in respect of Buyer’s employees, staff, or information technology consultants, Seller will pay to Buyer the entire amount thereof within ten (10) business days. Buyer will provide to Seller (i) all invoices and the like received from third party providers promptly upon receipt and (ii) invoices and the like (together with reasonable supporting documentation) for all other reimbursable costs and expenses.
Buyer Services. Buyer hereby undertakes as follows: (a) Buyer hereby undertakes to: (i) supply all products and materials as required by Seller from time to time (which order shall be provided to Buyer at least 60 days in advance in writing and in such format agreed by Buyer and Seller), and (ii) to provide all services as required by Seller from time to time (which order shall be provided to Buyer at least 60 days in advance in writing (or as agreed otherwise in writing) and in such format agreed to by Buyer and Seller). It is agreed that Seller will continue to act as the main contractor of all Existing Projects, while all duties with respect to performance of the Existing Projects required by Seller as aforesaid, will be carried out by Buyer as sub-contractor pursuant to this Agreement. Unless Buyer is otherwise requested by Seller, Buyer shall be dealing directly with customers in the Existing Projects, except for the Excluded Project. Seller shall have no right to use the services of any third party (including itself), (and as the date hereof has no agreement with any third party regarding the foregoing), other than the Buyer, in rendering and supplying the products, materials and services, Seller is required to provide under the Existing Contracts and the Excluded Project, provided that and as long as Buyer complies with and fulfills its undertakings under this Agreement to supply all products and materials and to provide all services. Except for the services to be provided by Buyer per Seller’s request pursuant to the provisions of Section 2.2(a) above, Seller hereby undertakes to duly and timely perform its undertakings and/or any of its other duties under the Existing Projects.

Buyer Services. In consideration of the payment by Seller to Buyer or the Company of the Buyer Charges subject to the terms of this Agreement, Buyer shall during the Transition Period procure the provision by the Company of the Buyer Services to the same standard as such services were provided to the Seller immediately prior to Closing. Except as agreed between the Parties in writing, Buyer shall not have any obligation to provide any services which are not part of the Buyer Services.
Buyer Services. During the term of this Services Agreement, the Buyer shall, upon the reasonable request of the Seller, provide the Seller with hazardous waste water services, and the Seller shall reimburse the Buyer, within thirty (30) days after the date of an invoice therefor, for its reasonable cost therefor, including all reasonable and documented out-of-pocket costs and expenses associated therewith. The Buyer shall provide such services on terms and conditions mutually agreeable to the Parties. Notwithstanding the foregoing, if the Buyer shall, at any time prior to the expiration of this Services Agreement, cease to perform such hazardous waste water services in connection with its own business, the Buyer shall have no further obligation to provide such services to the Seller hereunder.
Buyer Services. Buyer shall provide each of the following Services pursuant to the terms of this Agreement: SCHEDULE B1 BUYER'S SHARED INFRASTRUCTURE Name of Service: Buyer's Shared Infrastructure Terms of Service: Buyer will provide Seller with the following access to the identified shared infrastructure, solely in support of the Retained Business, for a period of up to one (1) year from the Closing Date: o Access and use of the phone system at the Xxxxx Xxxxx facility, providing up to twelve (12) phones and six (6) lines. o Access to and use of the phone system in Calcutta, allocating a reasonable number of lines to Seller after Buyer's business needs are met. o Access to and use of the 12 IP phones over the dedicated IPLC circuit between Xxxxx Xxxxx and the Calcutta offices. o Use of the printing facility at Xxxxx Xxxxx to produce a maximum of 2,500 color and 3,000 black & white standard letter sized pieces per month. o Buyer will permit Seller to mail to the existing RESAS customer database up to four (4) times, such mailing costs exclusively paid by Seller and only after content has been approved by Buyer (such approval not to be unreasonably withheld). The mailing(s) would be coordinated through an external third party mailing service in a blind fashion. o Assuming there is space available in the existing Seller facilities currently under leases which Buyer assumes in Singapore and Dubai, and further assuming that Buyer is authorized to allow non-Buyer employees to work out of the leased space, Buyer will permit one (1) Seller employee to work out of each of these offices in order to market Seller's services.
