Common use of Buyer Shares Clause in Contracts

Buyer Shares. The Buyer Shares have been duly authorized by all necessary corporate action by Buyer and, at the Closing, the Buyer Shares will be validly issued, fully paid and nonassessable and will not be issued in violation of any preemptive rights, rights of first refusal or similar rights.

Buyer Shares.
