Buyer’s Representative. 35.1.1 The Buyer shall appoint from the Signature Date until the Expiry Date an individual (the "Buyer’s Representative") whose identity shall be notified to the Seller to act as the Buyer’s duly authorised representative for all purposes connected with this Agreement. The Buyer shall notify the Seller in writing forthwith upon the replacement at any time of the Buyer’s Representative and such replacement shall not be effective until notice has been given. 35.1.2 The Buyer’s Representative may delegate any of his functions from time to time to a person or persons the identity of whom shall be notified to the Seller and references in this Agreement to the Buyer’s Representative shall be construed to include such persons.

Buyer’s Representative. Upon the Effective Date and during the term of this Agreement, Buyer shall designate by written notice to Seller a Buyer's Representative who shall be authorized to act on behalf of Buyer, with whom Seller may consult at all reasonable times, and whose written instructions, requests, and decisions will be binding upon Buyer as to all matters pertaining to this Agreement and the performance of Buyer hereunder ("Buyer's Representative"). If the Buyer's Representative does not have authority to approve Change Orders, Buyer shall deliver a notice to Seller identifying such persons within Buyer's organization that do have such authority. Buyer may, at any time by written notice to Seller, change the Buyer's Representative or, if applicable, the persons designated as having authority to approve Change Orders. Buyer’s Representative. (a) The Buyers must nominate a person ("BUYERS' REPRESENTATIVE") who has authority to act on behalf of the Buyers in relation to any queries, consents or approvals required under this agreement. (b) If the Buyers' Representative does not consent or object to the entry into of a particular contract or conduct of the type described in clause 13.1(b) within 5 Business Days of being notified of the Company's intention to enter into that contract or implement that conduct, the Buyers shall be deemed to have consented to the entry into of that contract or implementation of that course of conduct.

Buyer’s Representative. Buyer hereby appoints WPT LLC as Buyer’s representative (in such capacity, “Buyer’s Representative”) for purposes of giving and receiving all notices, statements, and invoices under this Agreement by or to Buyer and serving as the primary contact with respect to certain operational matters as specified herein. Any notice, statement, or invoice required or permitted to be delivered by Seller under this Agreement shall be deemed to have been delivered to Buyer upon delivery thereof to Buyer’s Representative. Any notice, election, or other action required or permitted of Buyer under this Agreement shall be binding upon Buyer when provided, made or taken by Buyer’s Representative. No change in the identity of Buyer’s Representative shall be effective until Seller receives written notice from Buyer’s Representative of the change and the effective date thereof, which must be prospective.

Buyer’s Representative. (a) Buyer hereby designates F. ▇▇▇▇▇ ▇▇▇▇▇▇▇ (the “Buyer’s Representative”) to serve as the sole and exclusive representative of Buyer on and after the Closing Date with respect to the matters set forth in this Agreement related to Buyer. Notwithstanding anything to the contrary contained in this Agreement, the Buyer’s Representative shall not have any duties or responsibilities except those expressly set forth herein, and no implied covenants, functions, responsibilities, duties, obligations or liabilities on behalf of Buyer shall otherwise exist against the Buyer’s Representative. (b) The Buyer’s Representative is hereby irrevocably appointed as the agent, proxy and attorney-in-fact for Buyer for all purposes specified in this Agreement, including full power and authority on Buyer’s behalf, (i) to take all actions which the Buyer’s Representative considers necessary or desirable in connection with the defense, pursuit or settlement of any determinations relating to any claims for indemnification hereunder, including determinations to ▇▇▇, defend, negotiate, settle and compromise any such claims for indemnification made by or against, and other disputes with, any Seller pursuant to this Agreement or any of the agreements or transactions contemplated hereby, (ii) to engage and employ agents and to incur such other expenses on Buyer’s behalf as the Buyer’s Representative shall deem necessary or prudent in connection with the administration of the foregoing, and to deduct the cost and expense thereof from any sums that may become payable to Buyer, (iii) to accept and receive notices to Buyer pursuant to this Agreement, (iv) to take all other actions and exercise all other rights which the Buyer’s Representative considers necessary or appropriate in connection with this Agreement It is acknowledged and agreed that such agency and proxy are coupled with an interest, and are, therefore, irrevocable without the consent of the Buyer’s Representative and shall survive the death, incapacity, bankruptcy, dissolution or liquidation of Buyer. All decisions of the Buyer’s Representative shall be binding upon Buyer, and Buyer shall not have the right to object, dissent, protest or otherwise contest the same. (c) In the event that the Buyer’s Representative (or any successor Buyer’s Representative appointed in accordance with this Section 8.13) shall die, become incapacitated or resign, Buyer shall designate a successor Buyer’s Representative. Buyer’s Representative. The State reserves the right to appoint a ▇▇▇▇▇'s Representative to manage or assist the Buyer in managing the contract on behalf of the State. The Buyer's Representative will be appointed in writing, and the appointment document will specify the extent of the Buyer's Representative authority and responsibilities. If a Buyer's Representative is appointed, the bidder will be provided a copy of the appointment document and is expected to cooperate accordingly with the Buyer's Representative. The Buyer's Representative has no authority to bind the State to a contract, amendment, addendum, or other change or addition to the contract.
