Buyer’s Representative. 35.1.1 The Buyer shall appoint from the Signature Date until the Expiry Date an individual (the "Buyer’s Representative") whose identity shall be notified to the Seller to act as the Buyer’s duly authorised representative for all purposes connected with this Agreement. The Buyer shall notify the Seller in writing forthwith upon the replacement at any time of the Buyer’s Representative and such replacement shall not be effective until notice has been given.
35.1.2 The Buyer’s Representative may delegate any of his functions from time to time to a person or persons the identity of whom shall be notified to the Seller and references in this Agreement to the Buyer’s Representative shall be construed to include such persons.
Buyer’s Representative. (a) Sellers acknowledge that Buyer appoints hxxxxx XX0 Xxxxxx (or any person appointed as a successor Buyer’s Representative) as their representative and agent under this Agreement.
(b) Sellers acknowledge that Buyer’s Representative is authorized to take any action and to make and deliver any certificate, notice, consent or instrument required or permitted to be made or delivered under this Agreement or under the documents referred to in this Agreement, to waive any requirements of this Agreement that Buyer’s Representative determines in Buyer’s Representative’s sole and absolute discretion to be necessary, appropriate or advisable, which may be required for the performance of all obligations under this Agreement on behalf of Buyer or any Buyer’s successors and assignees and to make claims, collect and dispute, settle, compromise and make all claims related to Article XI of this Agreement. The Buyer’s Representative authority includes the right to hire or retain, at the sole expense of Buyer, or any of Buyer’s successors and assignees, such counsel, investment bankers, accountants, representatives and other professional advisors as Buyer’s Representative determines in Buyer’s Representative sole and absolute discretion to be necessary, appropriate or advisable in order to perform this Agreement. Sellers may rely upon any action taken by Buyer’s Representative, and to act in accordance with such action without independent investigation. The appointment and authority granted to Buyer’s Representative pursuant to this Section 2.5 shall survive and continue to be effective after the Merger.
(c) After the Closing Date, Sellers may rely entirely on its dealings with, and notices to and from, Buyer’s Representative to satisfy any obligations it might have under this Agreement or any other agreement referred to in this Agreement or otherwise to Sellers.
Buyer’s Representative. There will be no Buyer’s representative permanently placed on board the Rig in the period between the Effective Date and the Delivery Date, provided however that in the event that at any time after the Effective Date and prior to the Delivery Date, Buyer and its clients need to board the Rig for its clients’ visit, Buyer shall obtain Seller’s written consent, and such consent shall not be unreasonably withheld, and Seller shall accompany Buyer for the visit on the Rig.
Buyer’s Representative. Buyer hereby appoints WPT LLC as Buyer’s representative (in such capacity, “Buyer’s Representative”) for purposes of giving and receiving all notices, statements, and invoices under this Agreement by or to Buyer and serving as the primary contact with respect to certain operational matters as specified herein. Any notice, statement, or invoice required or permitted to be delivered by Seller under this Agreement shall be deemed to have been delivered to Buyer upon delivery thereof to Buyer’s Representative. Any notice, election, or other action required or permitted of Buyer under this Agreement shall be binding upon Buyer when provided, made or taken by Buyer’s Representative. No change in the identity of Buyer’s Representative shall be effective until Seller receives written notice from Buyer’s Representative of the change and the effective date thereof, which must be prospective.
Buyer’s Representative. Upon the Effective Date and during the term of this Agreement, Buyer shall designate by written notice to Seller a Buyer's Representative who shall be authorized to act on behalf of Buyer, with whom Seller may consult at all reasonable times, and whose written instructions, requests, and decisions will be binding upon Buyer as to all matters pertaining to this Agreement and the performance of Buyer hereunder ("Buyer's Representative"). If the Buyer's Representative does not have authority to approve Change Orders, Buyer shall deliver a notice to Seller identifying such persons within Buyer's organization that do have such authority. Buyer may, at any time by written notice to Seller, change the Buyer's Representative or, if applicable, the persons designated as having authority to approve Change Orders. Xxxxx's Representative is . The Buyer's Representative may be changed by Xxxxx upon notice to Seller from Xxxxx's Authorized Officer.
Buyer’s Representative. Buyer’s Representative. (a) The Buyer must nominate a person ("Buyer's Representative") who has authority to act on behalf of the Buyer in relation to any queries, consents or approvals required under this agreement. The Buyer's Representative shall be Xxxxx Xxxxx.
(b) If the Buyer's Representative does not consent or object to the entry into of a particular contract or conduct of the type described in clause 12.1(b) within 5 Business Days of being notified of the Company's intention to enter into that contract or implement that conduct, the Buyer shall be deemed to have consented to the entry into of that contract or implementation of that course of conduct.
Buyer’s Representative. Buyer hereby appoints Buyers’ Representative to act on his behalf with and in accordance with the provisions of this Agreement.
Buyer’s Representative. The State reserves the right to appoint a Xxxxx's Representative to manage or assist the Buyer in managing the contract on behalf of the State. The Buyer's Representative will be appointed in writing, and the appointment document will specify the extent of the Buyer's Representative authority and responsibilities. If a Buyer's Representative is appointed, the bidder will be provided a copy of the appointment document and is expected to cooperate accordingly with the Buyer's Representative. The Buyer's Representative has no authority to bind the State to a contract, amendment, addendum, or other change or addition to the contract.
Buyer’s Representative. Each Buyer herby appoints Alfred J. Verrecchia as its representative (the "Buyers' Represxxxxxxxx"), xxxxxxxxxd to act on its behalf for all purposes of the transactions contemplated by this Agreement, and agrees that at all times after the date hereof, Sellers and the Shareholders shall be entitled to deal exclusively with the Buyers' Representative with respect to all matters that are the subject of this Agreement, including the delivery of certificates and other documents on behalf of any Buyer, the payment of amounts due Buyers hereunder, the delivery of notice regarding indemnification matters and the delivery of a writing pursuant to the first sentence of Section 14.8. All rights of Buyers, including rights to indemnification, shall be exercisable exclusively by the Buyers' Representative. If Alfred J. Verrecchia should resign, die or otherwise become unaxxx xx xxxxx xx xxx Buyers' Representative, Buyer Parent shall be obligated, within 10 days following any such event, to elect another Buyers' Representative and to deliver notice of such election to the Sellers' Representative. Sellers and the Shareholders shall have no liability to any Buyer for any acts or omissions of the Buyers' Representative, or any acts or omissions taken or not taken by any Seller or Shareholder at the direction of the Buyers' Representative. Upon any payment to the Buyers' Representative in accordance with this Agreement, Sellers and the Shareholders shall be deemed to have fully satisfied any and all obligations to each Buyer with respect to the amount of such payment.
