Buyers Supplies. (a) Buyer
(i) The Buyer shall, at its own risk, cost and expense, supply and deliver to the Builder all of the Buyer’s Supplies. Such items shall be delivered at a warehouse or other storage facility at the Shipyard or as otherwise directed by the Builder in a proper condition ready for installation by the Builder or Sub-contractor in or on the Vessel (hereinafter “Installation”), in accordance with the building and testing schedules in Clause 20(a) (Approvals) or as may reasonably be required by the Builder.
(ii) To assist Installation, the Buyer shall provide the Builder with the necessary documentation including specifications, plans, drawings, instruction books, manuals, test reports and certificates required to comply with all applicable rules and regulations. If so requested by the Builder, the Buyer shall, if reasonably possible and at no cost to the Builder, arrange for the representatives of the manufacturers of the Buyer’s Supplies to assist the Builder in Installation and/or to carry out the Installation of the Buyer’s Supplies by themselves or to make necessary adjustments at the Shipyard in accordance with the manufacturer’s instructions, including commissioning.
(iii) The Builder may reject any and all of the Buyer’s Supplies when and if found on reasonable grounds to be unsuitable or in improper condition for Installation or not in compliance with the Classification Society or Regulatory Authorities’ requirements.
(iv) If delay in delivery of any of the Buyer’s Supplies in accordance with Sub-clause (a)(i) exceeds thirty (30) days and will cause actual delay to the delivery of the Vessel, the Builder shall have the right to proceed with the construction of the Vessel without Installation of the delayed items. The Buyer shall accept and take delivery of the Vessel so constructed.
Buyers Supplies. 1. RESPONSIBILITY OF THE BUYER
(a) The BUYER shall, at its cost and expense, supply all the BUYER’s supplies mentioned in the SPECIFICATIONS, if any, (hereinafter called the “BUYER’S SUPPLIES”), to the BUILDER at the SHIPYARD in perfect condition ready for installation and in accordance with the time schedule to be furnished by the BUILDER to meet the building schedule of the VESSEL. Such schedule to be advised by the BUILDER within six (6) months after this CONTRACT becomes effective according to Article XX.
(b) In order to facilitate the installation of the BUYER’S SUPPLIES by the BUILDER in or on the VESSEL, the BUYER shall furnish the BUILDER with the necessary plans, instruction books, test report and all test certificates reasonably required by the BUILDER and shall cause the representative(s) of the makers of the BUYER’S SUPPLIES to give the BUILDER any advice, instructions or assistance which the BUILDER may reasonably require in the installation or adjustment thereof at the SHIPYARD, all without cost or expense to the BUILDER.
(c) The BUYER shall be liable for any expense incurred by the BUILDER for repair of the BUYER’S SUPPLIES due to defective design or materials, poor workmanship or performance or due to damage in transit and the DELIVERY DATE of the VESSEL shall be extended for the period of such repair if such repair shall affect the delivery of the VESSEL.
(d) Commissioning into good order of the BUYER’S SUPPLIES during and after installation on board shall be made at the BUYER’s expense by the representative of respective maker or the person designated by the BUYER in accordance with the BUILDER’s building schedule.
(e) Should the BUYER fail to deliver to the BUILDER the BUYER’S SUPPLIES and the necessary document or advice for such supplies within the time specified by the BUILDER, the DELIVERY DATE of the VESSEL shall automatically be extended for the period of such delay if such delay in delivery shall affect the delivery of the VESSEL. In such event, the BUYER shall pay to the BUILDER all losses and damages sustained by the BUILDER due to such delay in the delivery of the BUYER’S SUPPLIES and such payment shall be made upon delivery of the VESSEL, provided, however, that the BUILDER shall have :
(i) furnished the BUYER with the time schedule referred to above, two (2) months prior to installation of the BUYER’S SUPPLIES and
(ii) given the BUYER written notice of any delay in delivery of the BUYER’S SUPPLIES and the necessary document o...
Buyers Supplies. HLL shall have the right to furnish “Buyer Supplies” with respect to any Vessel to the extent permitted by the relevant MOA. All such Buyer Supplies shall be arranged and paid for by HLL and shall be the property of HLL. If the relevant MOA is terminated for any reason, any Buyer Supplies recovered from the Builder shall be delivered to and retained by HLL.
Buyers Supplies. 6.1 The Buyer, at its own risk and expense, shall contract for, supply and deliver the Buyer's Supplies to the Shipyard and, in the case of certain materials, to the Builder's facility at the base port for trials in proper condition for installation or incorporation in, or stowage on board, the Ship in precise accordance with a delivery schedule to be agreed between the Buyer and the Builder within one hundred and eighty (180) days after the Effective Date.
6.2 The Builder shall, at its own risk and expense, receive, check as to agreement with transport documents, insure (in accordance with Clause 2 of Article 4), safely store and keep well protected, and properly inspect, put on board and thereafter install or incorporate in or stow on the Ship, all of the Buyer's Supplies from time to time delivered to the Shipyard, and (whenever so requested by the Supervisor) the Builder shall also assist the Buyer to clear any Buyer's Supplies through German customs and (in relation to the materials which are to be delivered at the base port for trials) through the relevant customs. Upon request by the Builder, the Buyer's available personnel at the Shipyard will assist in the installation of the Buyer's Supplies.
