Common use of Cause; Other than for Good Reason Clause in Contracts

Cause; Other than for Good Reason. If the Executive’s employment shall be terminated for Cause during the Employment Period, or if the Executive shall resign during the Employment Period other than for Good Reason, this Agreement shall terminate without further obligation to the Executive other than the obligation to pay any compensation or benefits that have been earned but not paid on the Date of Termination, and any post-termination benefits that are provided under the Company’s normal benefit plans and policies.

Cause; Other than for Good Reason. If the Executive terminates employment during the Change of Control Employment Period, excluding a termination for Good Reason, this Agreement will terminate without further obligation to the Executive other than for the Accrued Obligations (which will be paid at the time set forth in Section 12(a)(i)) and any post-termination other benefits that are provided under to which the Company’s normal benefit plans Executive may be entitled pursuant to the terms of any plan, program or arrangement of the Company and policiesits affiliated companies.

If the Executive’s 's employment shall be terminated by the Company for Cause or by the Executive without Good Reason during the Employment Period, or if the Executive Company shall resign during the Employment Period other than for Good Reason, this Agreement shall terminate without have no further obligation payment obligations to the Executive other than for payment of Accrued Obligations, Accrued Investments (which shall be payable in accordance with the obligation terms and conditions of the Investment Plans), and the continuance of benefits under the Welfare Plans to pay any compensation or benefits that have been earned but not paid on the Date of Termination, and any post-termination benefits that are provided under the Company’s normal benefit plans and policies.

Cause; Other than for Good Reason. If the Executive’s employment shall be terminated for Cause during the Employment Period, or if the Executive shall resign during the Employment Period other than for terminates his employment without Good ReasonReason at any time (including by delivery of a Notice of Non-Renewal), this Agreement shall terminate without further obligation obligations to the Executive other than the obligation to pay any compensation or provide to the Executive an amount equal to the amount set forth in clause (1) of Section 4(a)(i)(A) and accrued benefits that have been earned but not paid on the Date of Termination, and any post-termination benefits that are provided under the Company’s normal benefit plans and policiespursuant to Section 4(a)(ii) above.

If the Executive’s 's employment shall be terminated for Cause or the Executive terminates his employment without Good Reason during the Employment Period, or if the Executive shall resign during the Employment Period other than for Good Reason, this Agreement shall terminate without further obligation obligations to the Executive under this Agreement, other than for payment of Accrued Obligations and the obligation to pay any compensation timely payment or benefits that have been earned but not paid on the Date provision of Termination, and any post-termination benefits that are provided under the Company’s normal benefit plans and policiesOther Benefits.

If Notwithstanding any provision of this Agreement to the contrary, if the Executive’s employment shall be terminated by the Company for Cause during the Employment Period, or if the Executive’s employment with the Company is terminated by the Executive shall resign during the Employment Period for other than for Good Reason, this Agreement shall terminate without further obligation obligations to the Executive other than the obligation to pay any compensation or benefits that have been earned but not paid on the Date of Termination, and any post-termination benefits that are provided under the Company’s normal benefit plans and policieshereunder.

If the Executive’s employment shall be terminated for Cause during the Employment Period, or if the Executive shall resign during the Employment Period other than for Good ReasonReason or Disability, this Agreement shall terminate without further obligation obligations to the Executive Executive, other than for payment of Accrued Obligations and the obligation timely payment or provision of Other Benefits. Accrued Obligations shall be paid to pay any compensation or benefits that have been earned but not paid on Executive in a lump sum in cash within thirty (30) days after the Date of Termination, and any post-termination benefits that are provided under the Company’s normal benefit plans and policies.

If the Executive’s 's employment shall be terminated for Cause or the Executive terminates his employment without Good Reason during the Employment Period, or if the Executive shall resign during the Employment Period other than for Good Reason, this Agreement shall terminate without further obligation obligations to the Executive other than the obligation to pay any compensation or benefits that have been earned but not paid on to the Executive (i) his Annual Base Salary through the Date of Termination, (ii) any accrued and any post-termination benefits that are provided under unpaid vacation, if any, and (iii) the Company’s normal benefit plans and policiesOther Benefits (as defined in Section 6), in each case to the extent theretofore unpaid.

Cause; Other than for Good Reason. If the Executive’s employment shall be terminated by the Company for Cause or by the Executive without Good Reason (other than for Retirement) during the Employment Period, or if the Executive shall resign during the Employment Period other than for Good Reason, this Agreement shall terminate without further obligation obligations of the Company to the Executive other than the obligation to pay any compensation or benefits that have been earned but not paid on to the Executive (x) his Annual Base Salary through the Date of Termination, (y) the amount of any compensation previously deferred by the Executive, and any post-termination benefits that are provided under (z) Other Benefits, in each case only to the Company’s normal benefit plans extent owing and policiestheretofore unpaid.

If (i) the Executive’s employment shall be terminated for Cause during the Employment Period, or if (ii) the Executive shall resign during the Employment Period other than for terminates his employment without Good Reason, this Agreement shall terminate without further obligation obligations to the Executive other than the obligation to pay any compensation or benefits that have been earned but not provide to the Executive (A) the Accrued Obligations and (B) the Other Benefits. Accrued Obligations shall be paid on to the Executive in a lump sum in cash within 30 days of the Date of Termination, and any post-termination benefits that are provided under the Company’s normal benefit plans and policies.

If the Executive’s 's employment shall be terminated for Cause during the Employment Period, or if the Executive shall resign during the Employment Period other than for terminates his employment without Good Reason, this Agreement shall terminate without further obligation obligations to the Executive other than the obligation to pay any compensation or benefits that have been earned but not paid on to the Executive (i) his Annual Base Salary through the Date of TerminationTermination to the extent theretofore unpaid and, and any post-termination benefits that are provided under (ii) the Company’s normal benefit plans and policiesOther Benefits.

If the Executive’s 's employment shall be terminated for Cause or the Executive terminates his employment without Good Reason during the Employment Retention Period, or if the Executive shall resign during the Employment Period other than for Good Reason, this Agreement shall terminate without further obligation obligations to the Executive other than the obligation to pay any compensation or benefits that have been earned but not paid on provide to the Date Executive an amount equal to the amount described in clause (1) of TerminationSection 5(a)(i)(A), and any post-termination benefits that are provided under the Company’s normal benefit plans and policiestimely payment or provision of the Other Benefits, in each case to the extent theretofore unpaid. If the Executive’s employment shall be terminated by the Company for Cause or by the Executive without Good Reason (other than for Retirement) during the Employment Period, or if the Executive shall resign during the Employment Period other than for Good Reason, this Agreement shall terminate without further obligation obligations of the Company to the Executive other than the obligation to pay any compensation or benefits that have been earned but not paid on to the Executive (x) his Annual Base Salary through the Date of Termination, and any post-termination benefits that are provided under (y) Other Benefits, in each case only to the Company’s normal benefit plans extent owing and policiestheretofore unpaid.

If the Executive terminates employment other than for Good Reason, this Agreement shall terminate without further obligation obligations to the Executive Executive, other than those obligations accrued or earned by the obligation to pay any compensation or benefits that have been earned but not paid on Executive through the Date of Termination, and any post-termination benefits that are provided under the Company’s normal benefit plans and policiesincluding for this purpose, all Accrued Obligations.

Cause; Other than for Good Reason. If the Executive’s 's employment shall be terminated for Cause or the Executive terminates his employment without Good Reason during the Employment Period, or if the Executive shall resign during the Employment Period other than for Good Reason, this Agreement shall terminate without further obligation obligations to the Executive other than the obligation to pay any compensation or benefits that have been earned but not paid on to the Executive (x) his Annual Base Salary through the Date of TerminationTermination and (y) Other Benefits, and any post-termination benefits that are provided under in each case to the Company’s normal benefit plans and policiesextent theretofore unpaid.
