Common use of Certain Licenses and Permits Clause in Contracts

Certain Licenses and Permits. Seller agrees that all Permits that are held in the name of any employee, officer, director, stockholder, agent or otherwise on behalf of the Company or a Subsidiary shall be duly and validly transferred to the Company or a Subsidiary without consideration prior to the Closing and that the warranties, representations, covenants and conditions contained in this Agreement shall apply to the same as if held by the Company or a Subsidiary as of the date of this Agreement.
