Certain Loan Documents. The Global Administrative Agent (or its counsel) shall have received from each party thereto either a counterpart of each of the following documents duly executed on behalf of such party or written evidence satisfactory to the Global Administrative Agent (which may include telecopy transmission of a signed signature page of such document) that each such party has duly executed for delivery to the Global Administrative Agent a counterpart of each of the following documents which documents must be acceptable to the Global Administrative Agent in its sole and absolute discretion: this Agreement, the U.S. Credit Agreement and the Intercreditor Agreement.

The Global Administrative Agent (or its counsel) shall have received from each party thereto either a counterpart of each of the following documents duly executed on behalf of such party or written evidence satisfactory to the Global Administrative Agent (which may include telecopy transmission of a signed signature page of such document) that each such party has duly executed for delivery to the Global Administrative Agent a counterpart of each of the following documents which documents must be acceptable to the Global Administrative Agent in its sole and absolute discretion: this Agreement, the Intercreditor Agreement, the Fee Letter, a Guaranty from each Guarantor, the Pledge Agreements required by Sections 4.1(e), (f) and (g),and all related financing statements and other filings, and the other Loan Documents.

The Global Administrative Agent (or its counsel) shall have received from each party thereto either a counterpart of each of the following documents duly executed on behalf of such party or written evidence satisfactory to the Global Administrative Agent (which may include telecopy or electronic transmission acceptable to the Global Administrative Agent of a signed signature page of such document) that each such party has duly executed for delivery to the Global Administrative Agent a counterpart of each of the following documents which documents must be acceptable to the Global Administrative Agent in its sole and absolute discretion: this Agreement, the Intercreditor Agreement, the Fee Letter, the Notes (to the extent requested by any Lender), a Guaranty from each Guarantor, the Pledge Agreements required by Section 4.1(e), and the Debentures required by Section 4.1(f), and all related financing statements and other filings, and the other Loan Documents.
Certain Loan Documents. The Administrative Agent (or its counsel) shall have received from each party thereto either a counterpart of each of the following documents duly executed on behalf of such party or written evidence satisfactory to the Administrative Agent (which may include telecopy transmission of a signed signature page of such document) that each such party has duly executed for delivery to the Administrative Agent a counterpart of each of the following documents: a Guaranty from FST, a Guaranty from each Restricted Subsidiary of Borrower that is required to execute and deliver a Guaranty under this Agreement, and the Debenture and Deposit Agreement, and all related financing statements, registrations and other filings.
Certain Loan Documents. The Agent shall have received all of the ---------------------- following, all of which shall be in form and substance satisfactory to the Lenders:
(i) This Agreement, executed by the Borrower, together with all required Schedules hereto, which are in each case complete and correct in all material respects as of the Effective Date;
(ii) Each Note, executed by the Borrower and payable to the order of each Lender;
(iii) Guaranties executed by each of Holdings and the Subsidiary Guarantors; and
(iv) the Amended and Restated Senior Subordinated Credit Agreement, executed by the Borrower, Holdings and the other guarantors identified therein and Sumitomo Finance (Dublin)
Certain Loan Documents. At any time, for any reason, this Agreement, any Note or any Guaranty ceases to be in full force and effect or any Loan Party seeks to repudiate its obligations hereunder or thereunder.

Certain Loan Documents. The Administrative Agent shall have received multiple counterparts, as requested by the Administrative Agent, of the following documents: (a) this Agreement; (b) the Fee Letter; (c) the Guaranty duly completed and executed by each Guarantor; (d) the Assignment of Secured Indebtedness; (e) the Mortgage Assignment and Amendment, described on Exhibit E, duly completed and executed in a sufficient number of counterparts for recording, if necessary, and all documents and instruments, including Uniform Commercial Code Financing Statements (Form UCC-1), required by law or reasonably requested by the Administrative Agent with respect to such Mortgage Assignment and Amendment (or the underlying Mortgages); (f) the Pledge Agreements required by Section 4.1(ii); (g) any Notes requested by a Lender pursuant to Section 2.13 payable to the order of each such requesting Lender; and (h) the other Collateral Documents, including those described on Exhibit E, duly completed and executed in a sufficient number of counterparts for recording, if necessary. In connection with the execution and delivery of the Collateral Documents, the Administrative Agent shall be reasonably satisfied that the Collateral Documents create or continue, as applicable, first priority, perfected Liens (subject only to Excepted Liens identified in clauses (i) to (v), (vii) and (viii) of the definition thereof) on at least the lesser of (i) 75% of the total value of the Oil and Gas Properties evaluated in the Initial Reserve Report or (ii) 125% of the Aggregate Commitment.

The Global Administrative Agent (or its counsel) shall have received rom each party thereto either a counterpart of each of the following documents duly executed on behalf of such party or written evidence satisfactory to the Global Administrative Agent (which may include telecopy transmission of a signed signature page of such document) that each such party has duly executed for delivery to the Global Administrative Agent a counterpart of each of the following documents which documents must be acceptable to the Global Administrative Agent in its sole and absolute discretion: this Agreement, the Canadian Credit Agreement and the Intercreditor Agreement.

The Administrative Agent (or its counsel) shall have received from each party thereto either a counterpart of each of the following documents duly executed on behalf of such party or written evidence satisfactory to the Administrative Agent (which may include telecopy transmission of a signed signature page of such document) that each such party has duly executed for delivery to the Administrative Agent a counterpart of each of the following documents and any and all schedules, exhibits or other attachments to any such document must be acceptable to the Administrative Agent in its sole and absolute discretion: this Agreement; the Fee Letter; a Guaranty from each Subsidiary of the Borrower (other than a Foreign Subsidiary); and to the extent to which the Borrower or any of its Subsidiaries is a party, each other Loan Document referred to in clause (i) of the definition of such term and, to the extent requested prior to the Effective Date, each other Loan Document referred to in clause (ii) in the definition of such term.
