Certified Charter and Good Standing. A certificate of the due incorporation, legal existence and good standing of the Borrower in its state of incorporation, issued by the appropriate authorities of such jurisdiction, and certificates of Borrower's good standing and due qualification to do business, issued by appropriate officials in any states in which the failure to so qualify would result in a Material Adverse Change;
Certified Charter and Good Standing. A certificate of the due organization, legal existence and good standing of each Restricted Subsidiary in its state of organization, issued by the appropriate authorities of such jurisdiction, and certificates of such Restricted Subsidiary's good standing and due qualification to do business, issued by appropriate officials in any states in which the failure to so qualify would result in a Material Adverse Change;
Certified Charter and Good Standing. A certificate of the due organization, legal existence and good standing of MidAtlantic Inc. in its state of organization, issued by the appropriate authorities of such jurisdiction, and certificates of MidAtlantic Inc.'s good standing and due qualification to do business, issued by appropriate officials in any states in which the failure to so qualify would result in a Material Adverse Change;
Certified Charter and Good Standing. A certificate of the due organization, legal existence and good standing of each Guarantor in its state of organization, issued by the appropriate authorities of such jurisdiction, and certificates of such Guarantor's good standing and due qualification to do business, issued by appropriate officials in any states in which the failure to so qualify would result in a Material Adverse Change;
Certified Charter and Good Standing. A certificate of the due formation, valid existence and good standing of the Borrower in its state of incorporation, issued by the appropriate authorities of such jurisdiction, and certificates of Borrower's good standing and due qualification to do business, issued by appropriate officials in any states in which the Borrower is required to be so qualified as a foreign corporation;
Certified Charter and Good Standing. The Underwriters shall have received the certified charter and satisfactory evidence of the existence or good standing of the Company and the entities listed on Schedule 5 in their respective jurisdictions of incorporation or organization and their good standing as foreign entities in such other jurisdictions as the Underwriters may reasonably request a reasonable time prior to the date of this Agreement for the Company to obtain such evidence, in each case in writing or any standard form of telecommunication, from the appropriate governmental authorities of such jurisdictions prior to the date of this Agreement. The Underwriters shall have also received satisfactory evidence, dated the Closing Date, of the existence or good standing of the Company in its jurisdiction of incorporation.
Certified Charter and Good Standing. A certificate of the due formation, valid existence and good standing of Borrower and CRL in its state of incorporation, issued by the appropriate authorities of such jurisdictions;
