Cessation; Bankruptcy Clause Samples

The 'Cessation; Bankruptcy' clause defines the consequences and procedures that apply if a party ceases operations or becomes bankrupt. Typically, this clause allows the other party to terminate the agreement immediately if such an event occurs, and may specify the rights and obligations that survive termination, such as payment of outstanding amounts. Its core function is to protect parties from being bound to an agreement with an insolvent or non-operational counterparty, thereby allocating risk and ensuring business continuity.
