Change in Control; Potential Change in Control. As used in this Agreement: (a) the term “Parent Company” means the MHC (prior to the Reorganization) or Eastern Bankshares (upon the completion of the Reorganization) or any other entity that is the ultimate holding company of the Bank, controlling, directly or indirectly through one or more intermediaries, a majority of the Voting Securities (as defined below) issued by the Bank.
