Changes by Supplier Clause Samples

The "Changes by Supplier" clause defines the conditions under which a supplier may modify the goods, services, or terms originally agreed upon in a contract. Typically, this clause outlines the process the supplier must follow to propose changes, such as providing advance notice to the buyer and obtaining written approval before implementing any modifications. Changes by Supplier. Supplier shall notify buyer 180 days in advance of obsolescence or discontinuation of any materials, processes or products. Changes by Supplier to the goods, manufacturing processes, location of manufacturing facility, sub-suppliers and raw materials or construction thereof, will not be made without prior written approval from Buyer.
Changes by Supplier. Manufacturing. Supplier shall make no change to the Specifications, Process, Product tooling design, processing conditions, materials or manufacturing location without Purchaser’s prior written approval. Supplier shall provide a written request for any such change. Such request must include a description of the specific proposed change, the reason for the proposed change, the perceived benefit that will be derived from the proposed change, the perceived potential loss that may arise from failure to make the proposed change, and the anticipated lead time that will be necessary to make the proposed change. For accepted changes, the Supplier and Purchaser will work together to develop an implementation plan.
Changes by Supplier. Upon approval by Nevro of the initial design, Component or process changes, design changes or deviations considered by Vention must be submitted to Nevro in writing for review and approval prior to making any changes. Said approval shall be provided in a timely manner. ¨ x ¨
Changes by Supplier. Supplier may recommend design or specification changes to Aastrom but no such changes will be incorporated into the Product without Aastrom’s prior written approval and without following appropriate documentation change procedures. Such Supplier proposed changes shall be made at Aastrom’s expense.
Changes by Supplier. In the event Supplier plans to make any changes, such changes must be agreed to in writing by Samtec prior to such change being made. In the event that Supplier plans to cease manufacturing of the Product, Supplier shall give Samtec no less than 180 days’ notice prior to ceasing such production. In such event, the parties shall agree on an all time buy, at commercially reasonable prices, or re-­­qualification process. Supplier shall work with Samtec during such transition period to ensure continued supply.

Such Supplier proposed changes shall be made at Vericel's expense.
Changes by Supplier. Other than as set forth in the Order Addendum pursuant to which they are provided (or in a duly-executed amendment thereto), Supplier shall not alter the functionality, composition, cost or pricing of the Services, the manner in which they are provided or the performance standards or technical environment of the systems through which they are provided; provided, that, notwithstanding anything in this Agreement to the contrary, Supplier shall have the right to make any alteration to the functionality or composition of the Services, the manner in which they are provided or the performance standards or technical environment of the systems through which they are provided that Supplier reasonably expects will be, individually or in the aggregate with other such alterations, immaterial in nature and effect and do not impact the effective transition or wind down of Auto-Buying Program in any material respect. Supplier shall, at USAA FSB’s request, provide USAA FSB with a reasonably detailed description of all changes made without an amendment to an Order Addendum pursuant to this Section 14.1 as promptly as reasonably practicable following such request.
Changes by Supplier. The Supplier may make modifications to the specifications of the Products or make improvements to them at any time and shall be under no obligation to apply the same to any Products previously purchased by the Distributor. The Supplier shall provide the Distributor full particulars in writing of any change in Product specifications at least sixty (60) days prior to implementing such change. 8
Changes by Supplier. Any changes to the Specifications requested by Supplier must be notified to CUTANEA in advance to its implementation, and shall be incorporated only after approval of Governmental or Regulatory Authorities. All costs and expenses associated with such changes shall be borne by Supplier.
Changes by Supplier. Supplier shall notify iRhythm in writing of any change to the manufacturing process, parts, or materials used in the manufacture of the Goods before any such change goes into effect, and, if any such change is approved by iRhythm in writing, in its sole discretion, Supplier shall not implement any such change until: (i) Supplier verifies in writing in such form requested by iRhythm that such change shall not affect the Requirements for such Goods; and (ii) the Purchase Order is modified in writing accordingly.
