Changes to Shares. In the event of any stock dividend or distribution, or any change to the Shares by reason of any stock dividend or distribution, split-up, recapitalization, combination, exchange of shares or any other similar transaction, the term “Shares” as used in this Agreement shall be deemed to refer to and include the Shares and all such stock dividends and distributions and any securities into which or for which any or all of the Shares may be changed or exchanged or which are received in the relevant transaction.
Changes to Shares. In case of a stock dividend or distribution, or any change in Shares by reason of any stock dividend or distribution, split-up, recapitalization, combination, exchange of shares or the like, the term “Shares” shall be deemed to refer to and include the Shares as well as all such stock dividends and distributions and any securities into which or for which any or all of the Shares may be changed or exchanged or which are received in such transaction. Each Stockholder agrees, while this Agreement is in effect, to notify Parent promptly in writing of the number of any additional Shares or other securities of the Company acquired by such Stockholder, if any, after the date hereof.

Holder agrees during the Voting Period to notify the Purchaser and the Company promptly in writing of the number and type of any additional Shares acquired by Holder, if any, after the date hereof.

Xxxxxxx agrees during the period from and including the date hereof through the end of the Voting Period to notify the Company and the Purchaser promptly in writing of the number and type of any changes to Sponsor’s ownership of Shares, if any, after the date hereof.

In the event of a stock dividend or distribution, or any change in the shares of capital stock of MICT by reason of any stock dividend or distribution, stock split, recapitalization, combination, conversion, exchange of shares or the like, the term “Shares” shall be deemed to refer to and include the Shares as well as all such stock dividends and distributions and any securities into which or for which any or all of the Shares may be changed or exchanged or which are received in such transaction.
Changes to Shares. In the event of a stock dividend or distribution, or any change in the share capital of Arbe by reason of any stock dividend or distribution, stock split, recapitalization (including the Recapitalization), combination, conversion, exchange of shares or the like, the term “Shares” shall be deemed to refer to and include the Shares as well as all such stock dividends and distributions and any securities into which or for which any or all of the Shares may be changed or exchanged or which are received in such transaction. Holder agrees, during the Voting Period, to notify Arbe and ITAC promptly in writing of any changes in Holder’s ownership of Arbe securities.

Unless this Agreement shall have been terminated in accordance with Section 4(a) of this Agreement, Holder agrees during the Voting Period to notify Parent promptly in writing of the number and type of any additional Shares acquired by Holder, if any, after the date hereof.
Changes to Shares. This Agreement shall apply, with such changes to this Agreement as are necessary: (a) to any shares or other securities into which the Voting Trust Shares may be converted, changed, reclassified, redivided or consolidated; (b) to any newly issued shares of the Corporation received by the Shareholder as a dividend or other distribution on the Voting Trust Shares; and (c) to any shares or other securities of the Corporation or of a successor or continuing corporation received by the Shareholder on a reorganization, amalgamation, merger, arrangement, sale, transfer, continuance or reconstruction of the Corporation (which such shares shall be included in the definition of the “Voting Trust Shares”). If requested, and to the extent that they are able, the Voting Trustee shall issue a voting trust certificate in respect of shares or other securities as contemplated by (a), (b) and DO NOT COPY (c) above.
