Chargeback Processing. 11.3.1 Planet Payment will make available all retrieval requests and/or chargeback related information to Acquirer in accordance with the Timing Chart and in any event within [*] after Planet Payment receives the relevant files from the Card Associations. 11.3.2 Any chargebacks received for POS Transaction downgrading and/or MiGS e-commerce Foreign Transactions on account of e-commerce transactions being downgraded to non-3DSecure and non-Secure Code status solely as a result of a failure on the Planet Payment Platform and not as a result of the failure of the Acquirer Merchant, or any VAR to provide all of the necessary data elements, will be the liability of Planet Payment and Acquirer will recover the full amount of any chargebacks or any Card Associations penalties/assessments which may arise on such Transactions from Planet Payment.

Xxxxx Fargo Bank shall process debits of chargebacks when received from Visa or MasterCard. Xxxxx Fargo Bank shall process credits for reversals within [*] days of receipt of such dispute. Xxxxx Fargo Bank shall make available to PayPal the following services: • All chargeback representments submitted to Xxxxx Fargo Bank will be processed without challenges provided that PayPal complies with Association rules, submits appropriate documentation, and submits within the agreed-up timeframes. • Xxxxx Fargo Bank will provide full-time chargeback coverage from 08:00 a.m. to 5:00 p.m. Eastern. • PayPal will be provided up to [*] calendar days to respond to a chargeback notice. The [*] day timeframe starts from the date PayPal is notified by Xxxxx Fargo Bank that a chargeback has been received. • All cardholder documentation sent by Xxxxx Fargo Bank to PayPal will be sent via certified mail. • Xxxxx Fargo Bank will automatically return to the issuing bank any chargebacks received for any of the following reasons:
(a) Submitted beyond timeframe as mandated by the associations' rules and regulations except for foreign credit.
(b) PayPal has already issued a credit to customer. Note: credits must exactly match the original sales amount. • To the extent permitted by the applicable credit card associations, Xxxxx Fargo Bank will provide to PayPal Visa and MasterCard existing compliance information relating to procedures, rules, and regulations.
Chargeback Processing. 11.1 There shall be chargeback costs when the customer and/or end user request the process to be nullified. The chargeback costs shall be equivalent to the transaction costs of the total amount available at that particular time.
11.2 Clickpesa shall not charge the customer and or end user for the reasons caused by it.
11.3 The Customer permits Clickpesa to share information about a Chargeback with the End User, the End User’s Delivery Channel, and the Customer’s financial institution in order to investigate and/or mediate a Chargeback. Clickpesa shall request the necessary information from the Customer to contest the Chargeback.
11.4 If a Chargeback dispute is not resolved in the Customer’s favour or the Customer chooses not to contest the Chargeback, Clickpesa shall recover the Chargeback amount and any associated fees from the Customer’s electronic payment collections.
11.5 The Customer acknowledges that failure to assist Clickpesa in a timely manner when investigating a transaction, including providing necessary documentation within seven (7) days of the request, may result in an irreversible Chargeback. Clickpesa reserves the right, upon electronic notice to the Customer, to charge a fee for mediating and/or investigating Chargeback disputes.

2.2 Submissions by wholesalers will be either paper or electronic (EDI).
2.2.1 Paper - Processing time for paper submissions will be five (5) business days.
2.2.2 EDI - Processing time for EDI submissions will be three (3) business days.
2.2.3 These times do not apply to new or newly acquired Products for a period of ninety (90) days.

Specialty Distributor will recognize and administer contracts between Supplier and customers pursuant to those prices at which a customer may purchase Products have been established, subject to the continued validity of such contracts in accordance with applicable law. To ensure accuracy, the Supplier will notify Specialty Distributor by EDI, email or fax, with at least five (5) days advance notice to update existing contracts or pricing arrangements, and ten (10) days advance notice for new contract or pricing arrangement loads. Specialty Distributor reserves the right to deduct for any chargeback pricing discrepancies that result from Supplier’s inability to provide Specialty Distributor reasonable time to load contract pricing. Chargebacks shall be calculated based upon the WAC of the Product on the date of the sale. Specialty Distributor will submit chargeback reimbursement claims via EDI transaction sets within thirty (30) days of the invoice date. The Supplier will respond to original chargeback debit memos within twenty (20) days of debit memo date and the Supplier will respond to re-submitted chargebacks within twenty (20) days from the date the re-submittal was processed. Specialty Distributor may deduct in the event the Supplier does not provide a response to an original or re-submitted chargeback claim after twenty (20) days, and such deduction will be considered authorized. In the event that new information surfaces that causes corrections or adjustments to prior sales, chargeback claims can be reopened and resubmitted within twelve (12) months of the original sale date or as otherwise may be required in a government contract. All chargebacks older than twelve (12) months must be approved by the Supplier before resubmitting. The Supplier will notify Specialty Distributor of rejection of chargeback submissions within twenty (20) days from the date of receipt of Specialty Distributor’s original submission. Specialty Distributor may resubmit such rejected chargebacks with corrected information. Rejected claims not re-submitted within ninety (90) days of the date on the Supplier’s credit memo will be considered to be waived. Specialty Distributor will transmit all chargeback claims to Supplier electronically via electronic data interchange (EDI) in accordance with industry standards established by the Health Distribution Management Association (HDMA). Eversana shall provide chargeback processing services, including maintenance of hardware and software necessary to process chargebacks, maintenance of Evoke contracts (including membership eligibility, products, pricing and contract terms), processing and verification of each submitted chargeback line (including contract number, prime vendor, customer, product, contract price, sale date, Wholesale Acquisition Cost (WAC)), necessary calculations, payments due, discrepancy reporting and submission of reconciliation reports to Evoke, and provide standard reporting associated therewith.

In the event that NSS notifies Supplier that chargeback amounts owed by Supplier to NSS exceed amounts owed by NSS to Supplier (a "Debit Balance") Supplier will remit payment for chargebacks to NSS by check or wire transfer until such time that NSS notifies Supplier that it is no longer in a Debit Balance.
