Common use of Charter and Good Standing Clause in Contracts

Charter and Good Standing. Copies of the certificate of incorporation of Borrower together with good standing certificates (including verification of tax status) from the state of its incorporation, from the state in which its principal place of business is located and from all states in which the laws thereof require Borrower to be qualified and/or licensed to do business, each to be dated a recent date prior to the Closing Date and certified by the applicable Secretary of State or other authorized governmental entity and in the case of the certificate of incorporation, also certified as of the Closing Date by its corporate secretary or assistant secretary.
