The Company has caused true, complete and correct copies of the Charter Documents, each as in effect on the date hereof, and the minute books and similar corporate or other Entity records of each of the Company and the Company Subsidiaries to be delivered or otherwise made available to ARS. No breach or violation of any Charter Document of any of the Company and the Company Subsidiaries has occurred and is continuing.

Each Shareholder has caused true, complete and correct copies of its Charter Documents, as applicable, each as in effect on the date hereof, and its minute books and similar corporate or other Entity records to be delivered to Buyer. No breach or violation of any Charter Document of such Shareholder has occurred.

No breach or violation of any Charter Document of any of the Company and the Company Subsidiaries has occurred and is continuing.

The Sellers have caused true, complete and correct copies of the Charter Documents, each as in effect on the date hereof, and the minute books and similar corporate or other Entity records of each of the Sellers to be delivered to Buyer. No breach or violation of any Charter Document of the Sellers has occurred.

The Company has caused true, complete, and correct copies of the Articles of Incorporation and Bylaws, each as amended or restated to date and in effect on the date hereof, and the minute books and similar corporate or other records of the Company to be made available or otherwise made available to UCB. No breach or violation of the Articles of Incorporation and Bylaws, each as amended or restated to date, of the Company has occurred and is continuing.
CHARTER DOCUMENTS AND RECORDS; NO VIOLATION. The Seller has caused true, complete and correct copies of the Charter Documents, each as in effect on the date hereof, and the minute books and similar corporate or other Entity records of each of the Seller and the Seller Subsidiaries to be delivered or otherwise made available to Apple. No breach or violation of any Charter Document of any of the Seller and the Seller Subsidiaries has occurred and is continuing.

Seller has caused true, complete and correct copies of the Charter Documents, each as in effect on the date hereof, and the minute books and similar records of the Seller Subsidiaries to be delivered to RW. No Material breach or violation of any Charter Document of the Seller Subsidiaries has occurred and is continuing.
CHARTER DOCUMENTS AND RECORDS; NO VIOLATION. The Company has caused true, complete, and correct copies of the Charter Documents, each as in effect on the date hereof, and the minute books and similar corporate or other Entity records of the Company and each Company Subsidiary to be delivered or otherwise made available to IDG. Except as set forth on Schedule 4.05, no breach or violation of the Charter Documents of the Company or any Company Subsidiary has occurred and is continuing and notwithstanding such disclosure, such breach or violation has not had or reasonably would not be expected to have, a Material Adverse Effect on the Company or on the Surviving Company or IDG.

The Stockholders have caused true, complete and correct copies of the Charter Documents, each as in effect on the date hereof, and the minute books and similar corporate or other Entity records of OSI to be delivered or otherwise made available to T-NDE. No breach or violation of any Charter Document of OSI has occurred and is continuing.
CHARTER DOCUMENTS AND RECORDS; NO VIOLATION. The Seller has caused true, complete and correct copies of the Charter Documents of the Seller and each of the Joint Ventures, each as currently in effect, to be delivered to the Buyer Companies, and of their respective minute books or similar corporate or other Entity records to be available to the Buyer Companies. No breach or violation of any such Charter Document of the Seller or, to the knowledge of the Seller, of any Joint Venture, has occurred and is continuing.
