Charters etc. (i) deliver to the Bank a Certified Copy of each Extended Employment Contract upon its execution, (ii) forthwith on the Bank’s request execute (a) a Charter Assignment in respect thereof and (b) any notice of assignment required in connection therewith and use reasonable efforts to procure the acknowledgement of any such notice of assignment by the relevant charterer (provided that any failure to procure the same shall not constitute an Event of Default) and (iii) pay all legal and other costs incurred by the Bank in connection with any such Charter Assignments, forthwith following the Bank’s demand.

Charters etc deliver to the Agent, a Certified Copy of each Extended Employment Contract upon its execution, (ii) forthwith on the request of the Agent (acting on the instructions of the Majority Lenders) execute (a) a Charter Assignment in respect thereof and (b) any notice of assignment required in connection therewith and use reasonable efforts to procure the acknowledgement of any such notice of assignment by the relevant charterer (provided that any failure to procure the same shall not constitute an Event of Default) and (iii) pay all legal and other costs incurred by any Bank in connection with any such Charter Assignments, forthwith following the Agent’s demand.

Charters etc advise the Agent promptly of any charterparty or other contract of employment of a Ship with a tenor exceeding twelve (12) months (other than the Charters), forthwith after its execution and: (a) forthwith after its execution deliver a certified copy of each such charterparty or other contract of employment to the Agent; (b) forthwith following demand by the Agent execute: (i) a charter assignment of any such charterparty or other contract of employment in favour of the Security Agent in a form similar to that of the Charter Assignments; and (ii) any notice of assignment required in connection therewith in a form acceptable to the Agent in its reasonable discretion; (c) promptly procure the service of any such notice of assignment on the relevant charterer and the acknowledgement of such notice by the relevant charterer in a form reasonably acceptable to the Agent and the relevant charterer; (d) forthwith on the Agent’s request, deliver to the Agent such documents of the type specified in schedule 3 in relation to any such charterparty, contract, assignment, notice or acknowledgement as the Agent may reasonably require and which are available to the Borrowers; and (e) pay all legal and other costs incurred by the Agent or any other Creditor in connection with any such charter assignments or any other matters referred to in this clause 8.1.16 forthwith following the Agent’s demand (provided that any such expenses incurred prior to an Event of Default shall be reasonable and documented);

Charters etc not, without the prior written consent of the Agent (and which consent will be subject to such conditions as the Agent (acting on the instructions of the Majority Lenders) may reasonably impose and if granted, such charter will constitute an Approved Charter or Replacement Charter), let or agree to let any Ship: (a) on demise charter for any period; or (b) by any time or consecutive voyage charter for a term which exceeds or which by virtue of any optional extensions therein contained may exceed twelve (12) months' duration; or (c) on terms whereby more than two (2) months' hire (or the equivalent) is payable in advance; or (d) other than on an arm's length basis; and, provided it has first obtained the relevant consent of the Agent in accordance with the relevant Ship Security Documents and/or this clause 8.1.17, will: (i) deliver to the Agent a certified copy of each Approved Charter and Replacement Charter forthwith after its execution; (ii) forthwith execute (i) a specific assignment of any such Approved Charter or, as the case may be, Replacement Charter or other contract of employment in favour of the Security Agent in the form set out in schedule 12 and (ii) any notice of assignment required in connection therewith and promptly procure the acknowledgement of any such notice of assignment by the relevant Approved Charterer in a form acceptable to the Agent in its sole discretion; (iii) forthwith deliver to the Agent such documents of the type specified in schedule 3 in relation to any such charter, contract, assignment, notice or acknowledgement as the Agent may require; and (iv) pay all legal and other costs incurred by any Creditor in connection with any such specific assignments, forthwith following the Agent's demand;

Charters etc. (i) deliver to the Agent a Certified Copy of the Required Charter and each Extended Employment Contract upon its execution, (ii) forthwith on the Agent’s request execute (a) a Charter Assignment in respect thereof and (b) any notice of assignment required in connection therewith and shall provide to the Agent evidence of service of such notice to the relevant charterer and use best efforts to procure the acknowledgement of any such notice of assignment by the relevant charterer and (c) (if the Extended Employment Contract is a bareboat charter) procure execution by the Borrower and the charterer of a Tripartite Deed, together with all notices required to be determined thereunder and (iii) pay all legal and other costs incurred by the Agent in connection with any such Charter Assignment and Tripartite Deed, forthwith following the Agent’s demand;

Charters etc. (i) deliver to the Lender a Certified Copy of each Extended Employment Contract upon its execution, (ii) forthwith on the Lender’s request (a) procure that the Owner which is party thereto executes a Charter Assignment in respect thereof (b) deliver any notice of assignment required in connection therewith and use reasonable efforts to procure the acknowledgement of any such notice of assignment by the relevant charterer (provided that any failure to procure the same shall not constitute an Event of Default) and (c) (if the Extended Employment Contract is a bareboat charter) procure execution by the relevant Owner and the charterer of a Tripartite Deed, together with all notices required to be determined thereunder and (iii) pay all legal and other costs incurred by the Lender in connection with any such Charter Assignment and Tripartite Deed, forthwith following the Lender’s demand; and

Charters etc. (a) deliver to the Agent, a certified copy of each Approved Charterparty, forthwith after its execution, (b) forthwith on the Agent’s request execute (i) a Charterparty Assignment of any such Approved Charterparty party in favour of the Security Agent and (ii) any notice of assignment required in connection therewith in such form as the Agent may require in its sole discretion (to be served upon the happening of an Event of Default which is continuing), and promptly procure (upon the happening of an Event of Default which is continuing) the acknowledgement of any such notice of assignment by the relevant charterer in such form as the Agent may require in its sole discretion and (c) pay all reasonable and documented legal and other costs incurred by any Creditor in connection with any such specific assignments, forthwith following the Agent’s demand.

Charters etc provided it has first obtained the consent of the Agent or any other Creditors to the entry of any Owner into a charterparty, in accordance with the relevant Ship Security Documents (i) deliver to the Agent a Certified Copy of any Approved Employment Contract forthwith after its execution, (ii) forthwith on the Agent’s request procure that the Owners execute (1) a Charter Assignment of any such charter or other contract of employment in favour of the Security Trustee, (2) in the case that the Approved Employment Contract is a bareboat charter, execute, and procure the execution by the charterer of, a Tripartite Deed in relation thereto and (3) any notice of assignment required in connection therewith, and promptly procure the acknowledgement of any such notice of assignment by the relevant charterer (including any Approved Charterer) in a form appended to the relevant Charter Assignment, and (iii) pay all legal and other costs incurred by any Creditor in connection with any such specific assignments, forthwith following the Agent’s demand;
