Chief Technology Officer. The chief technology officer (the “CTO”), subject to the direction and control of the Board and the CEO, shall be in charge of, and shall oversee, the operation, maintenance and consistency of the technological infrastructure of the Company and its business. In general, and unless otherwise modified from time to time by the action of the Board, the CTO shall have all the general powers and duties of supervision and management usually vested in the “chief technology officer” (or the like) of a public company. The CTO shall also have all such other powers, and perform all such other duties, as may be assigned to him/her from time to time by the CEO and/or the Board.
Chief Technology Officer. The Executive shall diligently and conscientiously devote the Executive's full time, attention and best efforts to discharge the duties assigned to the Executive by the Company. The Executive shall perform such duties as may be assigned to the Executive from time to time by the Company.
