Claims Experience. Notwithstanding the foregoing, RemainCo and SpinCo shall use commercially reasonable efforts to ensure that any claims experience under the RemainCo Welfare Plans attributable to SpinCo Welfare Beneficiaries shall be available to the SpinCo Welfare Plans, as permitted by any applicable privacy protection laws or regulations or Privacy Contracts.
Claims Experience. The Parties shall take any action necessary to ensure that any claims experience under the Carrols Welfare Plans attributable to Fiesta Participants shall be allocated to the Fiesta Welfare Plans.
Claims Experience. Notwithstanding the foregoing, MI and B&W shall use commercially reasonable efforts to ensure that any claims experience under the McDermott Welfare Plans attributable to B&W Welfare Beneficiaries shall be available to the B&W Welfare Plans, as permitted by any applicable privacy protection laws or regulations or Privacy Contracts.
Claims Experience. At or prior to the Closing, the Sellers ----------------- will prepare and deliver to the Buyer a description of all claims experience of the Company during the past three years under all of the insurance policies listed on Schedule 5.16 hereto, including settled and outstanding claims under all such policies in respect of general liability and workers' compensation claims.
Claims Experience. Notwithstanding the foregoing, SLM BankCo and NewCo shall use commercially reasonable efforts to ensure that any claims experience under the SLM BankCo Welfare Plans attributable to NewCo Welfare Beneficiaries shall be available to the NewCo Welfare Plans, to the extent permitted by any applicable privacy protection laws or regulations or Privacy Contracts.
Claims Experience. Notwithstanding the foregoing, Crane Holdings, Co. and Crane Company shall use commercially reasonable efforts to ensure that any claims experienced under the Crane Company Welfare Plans attributable to Crane NXT, Co. Welfare Plan Participants shall be available to the Crane NXT, Co. Welfare Plans, as permitted by any applicable privacy protection Laws or regulations or Privacy Contracts.
Claims Experience. The parties (acting directly or through their Affiliates) shall take any action necessary to ensure that any claims experience under the Pride Health and Welfare Plans attributable to Continuing Seahawk Participants shall be allocated to the Seahawk Health and Welfare Plans.
Claims Experience. Part 3.18.3 of the Disclosure Letter sets forth, by year, for the current policy year and each of the three preceding policy years:
(a) a summary of the loss experience under each policy;
(b) a statement describing each claim under an insurance policy for an amount in excess of $25,000, which sets forth:
(i) the name of the claimant;
(ii) a description of the policy by insurer, type of insurance, and period of coverage; and
(iii) the amount and a brief description of the claim; and
(c) a statement describing the loss experience for all claims that were self-insured, including the number and aggregate cost of such claims.
Claims Experience.
