Classified Information. In no event shall any of the Copyright Collateral, Patent Collateral or Trademark Collateral include any Copyright, Patent or Trademark, any application for a Copyright, Patent or Trademark, or any license or right under any Copyright, Patent or Trademark that is “classified” for reasons of national security or foreign policy under applicable laws or with respect to which Pledgor is not entitled to pledge, sublicense or assign pursuant to its terms or applicable law or regulation.

Classified Information. All government classified information provided under this Agreement will be transferred and safeguarded by both of the Parties in accordance with security agreements between the governments of Seller and Customer.

Classified Information. Except in connection with authorized visits, classified material shall not be possessed by the Consultant off the premises of the Company. The Company shall not furnish classified material to the Consultant at any other location than the premises of the Company and performance of the consulting services by the Consultant shall be accomplished at the premises of the Company; and classification guidance will be provided by the Company. The Consultant and his certifying employees shall not disclose classified information to unauthorized persons. Electrosource shall brief the Consultant as to the security controls and procedures applicable to the Consultant's performance.
Classified Information a) All Classified Information provided or generated pursuant to this Agreement and any of its Project Arrangements shall be stored, handled, transmitted, and safeguarded in accordance with applicable laws, regulations and appropriate agreements between the Parties. The Parties shall agree on any implementing security arrangements that are deemed necessary for handling. Prior to the sharing of Classified Information, the providing Party will ensure that the information is properly marked and the receiving Party is aware of the pending transfer. b) The Parties shall each appoint a Designated Security Authority to establish implementing security arrangements and procedures consistent with this Agreement. c) Each Party shall ensure that access to Classified Information is limited to those persons who possess requisite security clearances and have a specific Need-to-Know in order to participate in Cooperative Activity established pursuant to this Agreement. d) Each Party shall ensure that it incorporates the provisions of this Article into Project Arrangements. In addition, if either Party deems it necessary, Project Arrangements shall include: (i) detailed provisions dealing with the prevention of unauthorized transfer or re-transfer of information and Equipment and Material; and/or (ii) detailed distribution and access restrictions on information and Equipment and Material. e) Each Party shall take all steps subject to applicable laws and regulations to ensure that Classified Information provided or generated pursuant to this Agreement is protected from further disclosure, unless the other Party consents to such disclosure. f) Classified Information shall be transferred only through official government-to-government channels or through channels approved by both Parties. Such Classified Information shall be given the equivalent level of classification in the country of receipt as it was given in the country of origin and shall be marked with a legend containing the country of origin, the conditions of release, and the fact that the information relates to this Agreement. g) The Parties shall investigate all cases in which it is known or where there are reasonable grounds for suspecting that Classified Information provided or generated pursuant to this Agreement has been lost or disclosed to unauthorized persons. Classified Information. At the request of the Contractor, the Consultant must: comply with the Commonwealth's security clearance process; obtain the level of security clearance requested by the Commonwealth; and comply with all security policies and procedures notified by the Commonwealth from time to time. Without limiting clause 1.3(f), the Consultant must not disclose any Classified Information unless the disclosure: is strictly in accordance with the provisions of the Defence Security Manual; and has first been approved in writing by the MCC Contract Administrator. For the purposes of this clause 15.11: Classified Information includes: any Commonwealth document marked with a national security classification; and any information or document that the Consultant knows or ought to know is subject to, or ought to be treated in accordance with, the provisions of the Defence Security Manual; and Defence Security Manual is a reference to that document as amended from time to time. Without limiting clauses 2.10, 2.12 or 6.13, the Consultant must provide to the Contractor's Representative written certification from an Accredited Building Surveyor: at the time it submits any Design Documentation under clause 6.2 - that the Design Documentation submitted at that time complies with the MFPE and the Building Code of Australia; and prior to Completion (as defined in the Managing Contractor Contract) of the MCC Works or a Stage (as defined in the Managing Contractor Contract) - that the MCC Works comply or the Stage (as defined in the Managing Contractor Contract) complies (as the case may be) with the MFPE and the Building Code of Australia, except to the extent of any dispensation granted by the ASEE and set out in the certification. To the extent that there is any inconsistency between the MFPE and the Building Code of Australia, the MFPE prevails.
